IPO Proceeds definition

IPO Proceeds has the meaning set forth in the Recitals of this Agreement.

IPO Proceeds has the meaning specified in Section 4.01(e).

IPO Proceeds means the portion of the net proceeds received by the Partnership from the issuance and sale of Common Units in connection with the closing of the Initial Public Offering that, according to the disclosure set forth in the section of the Registration Statement entitled “Use of Proceeds,” are to be distributed to AIM Midstream, the LTIP Partners and the General Partner.

Examples of IPO Proceeds in a sentence

• The appointment of ICRA as the Monitoring Agency with respect to monitoring of the IPO Proceeds, as applicable, shall be without any prejudice to any existing or future arrangement between the Company and ICRA, whether in the capacity of a monitoring agency or not, and all such arrangements between the Company and ICRA shall be mutually exclusive of one another and on arm’s length basis, as permissible under the Applicable Law.

• This Agreement shall be effective on and from the date first hereinabove written as the date of execution and shall be in force till all of the IPO Proceeds, as applicable, are utilized in accordance with this Agreement and the Prospectus or till the termination hereof as per the provision of this Agreement.

• The Company hereby appoints ICRA as the monitoring agency for the purposes of monitoring the use of the IPO Proceeds, as applicable, of the Company in accordance with the Objects of the Offer and the SEBI ICDR Regulations.

• It is agreed that all transactions related to utilization of IPO Proceeds will be routed through the Proceeds Account only, subject to the provisions of Clause 4.1.

More Definitions of IPO Proceeds

IPO Proceeds means the aggregate proceeds from the sale of Lazard shares in Lazard’s initial public offering, net of underwriters’ discounts and commissions and directly allocated expenses.

IPO Proceeds means any and all proceeds received by Newmark from the sale in the IPO of shares of Newmark Class A Common Stock under the IPO Registration Statement (including all proceeds received by Newmark from the sale of shares of Newmark Class A Common Stock as a result of the Underwriters’ exercise of their option to purchase additional shares of Newmark Class A Common Stock pursuant to the Underwriting Agreement), in all cases, net of the Underwriters’ discount as provided in the Underwriting Agreement and other expenses borne by Newmark in connection with the IPO.

IPO Proceeds means the Net Proceeds received by Parent from the issuance and sale of its common Equity Interests in the Parent IPO.

IPO Proceeds means the gross proceeds raised from the IPO.

IPO Proceeds means the net proceeds the Company receives upon the closing of an IPO. For the avoidance of doubt, the calculation of “net proceeds” shall give effect to, among other things, underwriting discounts and offering expenses, including fees of and disbursement to counsel.

IPO Proceeds has the meaning assigned to such term in the recitals.

IPO Proceeds means the net cash proceeds, if any, received by the Borrower in connection with the Permitted IPO.
