IPSX Facilities definition

IPSX Facilities means the IPSX Trading Platform and other systems or services provided by IPSX for use by Issuers and/or Members;

Examples of IPSX Facilities in a sentence

  • IPSX shall have no obligation to verify, correct, complete or update any information displayed on IPSX Facilities from time to time except where IPSX is the author of such information.

  • The Counterparty shall not sell, lease, license, transfer, provide or otherwise make available to any third party any form of access to or the use of Transaction Data (whether through written, electronic or other means) or IPSX Facilities (whether as a demonstration or otherwise) other than as expressly authorised in this Agreement.

  • IPSX shall use reasonable efforts promptly to notify the Counterparty of any difficulties experienced by IPSX Facilities or other Counterparties with respect to their access to or use of IPSX Facilities, but only to the extent that IPSX is aware of such difficulties and reasonably determines that they are material to the Counterparty’s access to or use of IPSX Facilities.

  • IPSX shall not guarantee that any changes will not affect the material functionality of the IPSX Facilities.

  • Where an audit conducted by IPSX pursuant to this clause reveals evidence of a breach of the terms of this Agreement (including a breach of the Minimum Standards), the Counterparty shall promptly on demand reimburse IPSX in full for all reasonable costs incurred by IPSX in conducting that audit and IPSX shall be entitled to immediately suspend the Counterparty’s access to IPSX Facilities and/or terminate this Agreement with immediate effect without liability to the Counterparty.

  • In addition to accepting the terms of this Agreement, before being permitted to access and use IPSX Facilities, an IPSX Trading Member may be requested to provide, in terms acceptable to IPSX and from a reputable external law firm, a legal opinion regarding (inter alia) their capacity to execute and be bound by certain of the documents referred to above (in particular the IPSX Rules for Members).

  • IPSX will communicate to the Counterparty any minimum standards and requirements (including applicable security requirements) (“Minimum Standards”) applicable to such Equipment prior to granting access to IPSX Facilities.

  • The Issuer shall ensure that all user names, passwords, keys, tokens and similar items issued to or used by the Issuer for the purposes of accessing IPSX Facilities are kept confidential at all times and used only by the specific individuals to whom they are allocated, and the IPSX Issuer shall notify IPSX immediately if it knows or has reason to suspect any unauthorised access to or disclosure of any of those items.

  • In addition to accepting the terms of this Agreement, before being permitted to access and use IPSX Facilities, a Trading Member may be requested to provide, in terms acceptable to IPSX and from a reputable external law firm, a legal opinion regarding (inter alia) their capacity to execute and be bound by certain of the documents referred to above (in particular the IPSX Rules for Members).

Related to IPSX Facilities

  • New Facilities means facilities for which, by the cut-off date, neither of the following events has occurred:

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Public facilities means amenities that are—

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities.

  • Idle facilities means completely unused facilities that are excess to the governmental unit's current needs.

  • Production Facilities (7 9) means "production equipment" and specially designed software therefor integrated into installations for "development" or for one or more phases of "production".

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Railroad facilities means right of way and related

  • Wastewater Facilities means the structures, equipment, and processes required to collect, carry away, and treat domestic and industrial wastes and dispose of the effluent.

  • Common Facilities means the facilities under D.G.sets/D.G.rooms, water storage tanks its pumping and supply system, sewerage & drainage systems, electric sub-station/ transformers/electric panels/distribution network, maintenance service rooms, lawns including lighting & services etc., roads, pathways & driveways including street lighting & services etc., guard posts, fire hydrants & fire fighting system etc. and all such facilities and areas for common use and excluded from the computation of Super Area of the Said Premises;

  • Other Facilities means athletic stadiums, swimming pools, any associated structures or related equipment tied to such facilities including, but not limited to, grandstands and night field lights, greenhouses, facilities used for non-instructional or non-educational purposes, and any structure, building, or facility used solely for school administration;

  • Project Facilities means all the amenities and facilities situated on the Site, as described in Schedule-C;

  • Utility Facilities means the plant, equipment and property, including but not limited to, the poles, pipes, mains, conduits, ducts, cables, fiber optic cables, circuits, wires, lines, plant and equipment located under, on or above the surface of the ground within the Public Ways of the City and used or to be used for the purpose of providing utility services or Telecommunications Services.

  • Related facilities means any manager's units and any and all common area spaces that are included within the physical boundaries of the housing development, including, but not limited to, common area space, walkways, balconies, patios, clubhouse space, meeting rooms, laundry facilities, and parking areas that are exclusively available to residential users, except any portions of the overall development that are specifically commercial space.

  • Facilities means any and all real property (including all buildings, fixtures or other improvements located thereon) now, hereafter or heretofore owned, leased, operated or used by Company or any of its Subsidiaries or any of their respective predecessors or Affiliates.

  • Shared Facilities means the gen-tie lines, transformers, substations, or other equipment, permits, contract rights, and other assets and property (real or personal), in each case, as necessary to enable delivery of energy from the Facility (which is excluded from Shared Facilities) to the point of interconnection, including the Interconnection Agreement itself, that are used in common with third parties.

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.

  • Parking Facilities means parking lots or other off-street areas for the parking of vehicles, including areas below or above the surface of streets.

  • LNG facility means a terminal which is used for the liquefaction of natural gas or the importation, offloading, and re-gasification of LNG, and includes ancillary services and temporary storage necessary for the re-gasification process and subsequent delivery to the transmission system, but does not include any part of LNG terminals used for storage;

  • Ancillary Facilities means all facilities ancillary to the Temporary Casino or the Melbourne Casino identified in the Melbourne Casino Complex Development Proposals or the Temporary Casino Complex Development Proposals (as the case may be) to be constructed on or located within the Temporary Casino Site or the Site, including an hotel, restaurant, retail, recreation, entertainment and carparking facilities, residential and office accommodation, staff facilities, staff carparking, coach storage facilities and open space areas;

  • Attachment Facilities means the facilities necessary to physically connect a Customer Facility to the Transmission System or interconnected distribution facilities.

  • Local Facilities means working capital facilities provided to a Grantor (other than Beverage Packaging Holdings (Luxembourg) I S.A., Beverage Packaging Holdings (Luxembourg) II S.A. Beverage Packaging Holdings (Luxembourg) III S.à.x.x. and the Borrowers) by a Local Facility Provider and “Local Facility” means any of them.

  • Transportation Facilities means any physical facility that moves or assist in the movement of people or goods including facilities identified in OAR 660-012-0020 but excluding electricity, sewage, and water systems.

  • Facility Site means the site described in Schedule B. “FERC” means the Federal Energy Regulatory Commission.

  • Bank Facilities means any overdraft limits or credit facility available to you and their associated terms;

  • Debt Facilities means one or more debt facilities (including, without limitation, the Credit Agreement) or commercial paper facilities with banks or other institutional lenders providing for revolving credit loans, term loans, receivables financing (including through the sale of receivables to such lenders or to special purpose entities formed to borrow from such lenders against such receivables) or letters of credit or issuances of debt securities evidenced by notes, debentures, bonds or similar instruments, in each case, as amended, restated, modified, renewed, refunded, replaced or refinanced (including by means of sales of debt securities) in whole or in part from time to time (and whether or not with the original administrative agent, lenders or trustee or another administrative agent or agents, other lenders or trustee and whether provided under the original Credit Agreement or any other credit or other agreement or indenture).
