Issuer Floating Charge. ’ means such floating charge granted in favour of the Note Trustee for the Note Trustee itself and on trust for the Series Secured Creditors in relation to all Series, over the whole of the Issuer’s undertaking and all its property, assets and rights whatsoever and wheresoever present and future including, without limitation, the Issuer’s uncalled capital except to the extent otherwise charged or secured under Clause 4.1 (Creation of Fixed Security) of the Note Security Deed which will rank behind the Series Security for each Series;
Issuer Floating Charge means the first priority floating charge creating security over all relevant assets, rights (including intellectual property rights) and revenues of the Issuer, for the avoidance of doubt including any manuals and other operational documentation being the property of the Issuer.
Issuer Floating Charge means the floating charge governed by English law created by Clause 5.1 (Floating Charge under English law) of the Issuer Deed of Charge;

Examples of Issuer Floating Charge in a sentence

  • In such circumstances the Note Trustee or the Receiver will be entitled to enforce the Series Assets only in relation to the Defaulted Series for the benefit of the Series Secured Creditors of such Defaulted Series and will have no further claim against the Issuer in respect of the amounts payable under the Notes other than under the Issuer Floating Charge and thereafter as an unsecured creditor.

Issuer Floating Charge means a debenture (incorporating a floating charge) over all the assets of the Issuer. “Issuer Group” means the Issuer and its subsidiaries from time to time.

  • FIXED CHARGE PER MONTH means the fixed charge per month payable by company which is inclusive of depreciation, parking fee if applicable, all applicable taxes & duties including VAT, insurances, wages and other emoluments of Operator/Driver(s) / Helper(s) /Jugalees and other operation staff/crew excluding GST.

  • Facility Charge means one percent (1%) of the Maximum Term Loan Amount.
