Japanese Holdco means Baseload Power Japan Corporation (Reg. No. 0104-01- 141634).

Subco means 0961994 B.C. Ltd., a company existing under the laws of the Province of British Columbia;
Domestic Foreign Holding Company means any direct or indirect Domestic Subsidiary that is treated as a disregarded entity for United States federal income tax purposes if all of its assets (other than a de minimus amount) consist of the equity of one or more direct or indirect Foreign Subsidiaries.
Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.
CFC means a “controlled foreign corporation” within the meaning of Section 957(a) of the Code.
CFC Holding Company means any Domestic Subsidiary that owns no material assets (directly or indirectly) other than Equity Interests and debt of one or more CFCs or Domestic Subsidiaries that are themselves CFC Holding Companies.
