Joint Development Intellectual Property definition

Joint Development Intellectual Property means any and all Intellectual Property written, invented, developed or otherwise created by Align and Ormco jointly in the course of the Project during the Term of this Agreement. Whether Intellectual Property written, invented, developed or otherwise created in the course of the Project during the Term of this Agreement is “jointly” written, invented, developed or otherwise created shall be determined in accordance with the applicable sections of United States Code Title 35 — Patents, or, with respect to original works of authorship or rights in semiconductor topology applicable sections of United States Code Title 17 — Copyrights, regardless of whether the Intellectual Property is patentable, copyrightable, or eligible for mask work right protection. Joint Development Intellectual Property shall not include any Align Intellectual Property or Ormco Intellectual Property.

  • If there are any Statements of Work (as defined in the Joint Development Intellectual Property Agreement) in process or proposed that cannot be adequately funded by the Mayo Contribution and the CGI Contribution, the Board of Governors may vote to allow either or both Members, in such Member(s)’ discretion to provide additional contributions to facilitate the continuation of efforts under such Statements of Work.

  • During the term of the Affiliation, neither CGI nor Mayo shall enter into any other formal corporate joint venture covering the work as specifically defined in the Statements of Work (as defined in the Joint Development Intellectual Property Agreement) without first obtaining the prior written consent of the other party.

  • Joint Intellectual Property means, collectively, Joint Know-How and Joint Patents.

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;

  • Intellectual Property Right means any patent, patent right, trademark, trademark right, trade name, trade name right, service xxxx, service xxxx right, copyright and other proprietary intellectual property right and computer program.

  • Intellectual Property (IP) means all copyright, rights in relation to inventions (including patent rights and unpatented technologies), plant varieties, registered and unregistered trademarks (including service marks), registered designs, confidential information (including trade secrets and know-how), mask-works and integrated circuit layouts, and all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields;

  • Company Intellectual Property means any Intellectual Property that is owned or purported to be owned by the Company or any of its Subsidiaries.
