Junior Creditor Loan Documents definition

Junior Creditor Loan Documents each payment permitted pursuant to the provisions of this Section 8.6(a) shall be referred to as a “Permitted Payment”, and any amendment, modification, restatement, extension or replacement of any Junior Creditor Loan Document after the date of this Agreement shall be disregarded for purposes of determining Permitted Payments.
Junior Creditor Loan Documents means, collectively, the Lescroart Loan Documents and the Seller Loan Documents.
Junior Creditor Loan Documents as the Junior Creditor Loan Documents are in effect on the date hereof, and voluntary prepayments of principal and interest permitted under the terms of the Junior Creditor Loan Documents as the Junior Creditor Loan Documents are in effect on the date hereof (each, a “Permitted Payment”), but not any mandatory, voluntary, discretionary or optional payment, distribution, or other amount in repayment or prepayment of the Junior Obligations, whether required or permitted pursuant to the terms of the Junior Creditor Loan Documents, due to the acceleration of maturity of the Junior Obligations, in whole or in part, for any reason. Any amendment, modification, restatement, extension or replacement of the Junior Creditor Loan Documents after the date of this Agreement shall be disregarded for purposes of determining Permitted Payments.

Examples of Junior Creditor Loan Documents in a sentence

  • Junior Creditor hereby consents to and approves of the execution, delivery and performance by Borrower of the Senior Creditor Loan Documents, the consummation of the transactions contemplated thereby, and the incurrence by Borrower of the Senior Obligations on the date hereof and from time to time hereafter, notwithstanding anything to the contrary contained in any of the Junior Creditor Loan Documents.

  • Any amendment, modification, restatement, extension or replacement of the Junior Creditor Loan Documents after the date of this Agreement shall be disregarded for purposes of determining Permitted Payments.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Subordinated Loan Documents means at any time the agreements and other documents then governing the Subordinated Indebtedness.

  • Subordinate Loan Documents means the Subordinate Note, the Subordinate Mortgage, and all other documents at any time evidencing, securing, guaranteeing, or otherwise delivered in connection with the Subordinate Indebtedness.

  • DIP Loan Documents means, collectively, the DIP Credit Agreement and all other agreements, documents, and instruments delivered or entered into in connection therewith, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, subordination agreements, fee letters, and other security documents.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • First Lien Credit Documents means the “Credit Documents” as defined in the First Lien Credit Agreement.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Credit Agreement.

  • Senior Credit Agreement means that Credit Agreement dated as of December 1, 2006 (as amended, supplemented or otherwise modified from time to time), among the Issuer, Holdings, IV, Holdings V, Holdings III, each lender from time to time party thereto and the Administrative Agent.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • Loan Documents means, collectively, this Agreement, any note or notes executed by Borrower, and any other document, instrument or agreement entered into in connection with this Agreement, all as amended or extended from time to time.

  • Junior Debt Documents means the agreements governing any Junior Debt.

  • Secured Credit Document means (i) the Credit Agreement and each Loan Document (as defined in the Credit Agreement), (ii) each Initial Additional First-Lien Document, and (iii) each Additional First-Lien Document for Additional First-Lien Obligations incurred after the date hereof.

  • Revolving Loan Documents means the “Loan Documents” as defined in the Revolving Credit Agreement.

  • Second Lien Intercreditor Agreement means a “junior lien” Intercreditor Agreement, which shall be in form and substance reasonably satisfactory to the Administrative Agent, among the Administrative Agent and one or more Designated Representatives for holders of Alternative Incremental Facility Indebtedness or Permitted Junior Secured Refinancing Debt.

  • Junior Lien Intercreditor Agreement means an intercreditor agreement in form and substance reasonably satisfactory to the Administrative Agent between the Administrative Agent and one or more collateral agents or representatives for the holders of Indebtedness that is secured by a Lien on the Collateral ranking junior to the Liens of the Loan Documents.

  • Senior Secured Credit Agreement means that certain Credit Agreement, dated as of September 27, 2018, among the Borrowers, the lenders from time to time party thereto, JPMCB as administrative agent, JPMCB as collateral agent, and the other parties thereto, as amended, restated, amended, restated, extended, supplemented, refinanced or otherwise modified from time to time.

  • First Lien Intercreditor Agreement means an Intercreditor Agreement substantially in the form of Exhibit L among the Administrative Agent, the Collateral Agent and the representatives for purposes thereof for any other First Lien Secured Parties, with such changes thereto as may be reasonably acceptable to the Administrative Agent; provided that such changes are not materially adverse to the Lenders.

  • First Lien/Second Lien Intercreditor Agreement means an intercreditor agreement substantially in the form of Exhibit H hereto, or such other customary form reasonably acceptable to the Administrative Agent and the Borrower, in each case, as such document may be amended, restated, supplemented or otherwise modified from time to time.

  • Prepetition Secured Parties means the lender parties under the Prepetition Credit Facilities and the beneficial holders of the Prepetition Secured Notes.
