KDS Micronizing Machine definition

KDS Micronizing Machine means that micronizing and dewatering machine created by Licensor as it exists at the date of execution of this Agreement, utilising the Licensor' s Technology, the specifications of which are described in Annex B hereto and shall include any and all improvements thereto from time to time,
KDS Micronizing Machine means that micronizing machine as it exists at the date of execution of the Agreement.

  • In the event Licensee receives any inquiry from any third party in respect of the KDS Micronizing Machine from outside the Territory, Licensee shall refer such to Licensor.

  • In the event Licensor receives any inquiry from any third party in respect of the KDS Micronizing Machine from within the Territory, Licensor shall refer such to Licensee.

  • Licensee further agrees to pay to Licensor within thirty (30) days the royalty fees described above computed from the date of delivery of the KDS Micronizing Machine.

  • Licensee agrees to keep all technical information, drawings, specifications, manufacturing instruction, and other information relating to Licensor’s Technology, as strictly confidential according Article 9 hereof and will provide copies to the Licensor of all information, documents, drawings, programs, instructions and specifications regarding improvements, design changes and advancements made to the KDS Micronizing Machine by the Licensee upon request.

  • For the avoidance of doubt, Licensor shall not be entitled to any royalty fee in respect of the sale of the first KDS Micronizing Machine to Licensee pursuant to Clause 2.2 above.

  • Licensee is desirous of profiting by using the Licensor's information and data with regard to Licensor's Technology which is the subject matter of the Patents and of securing an exclusive license from the Licensor to use the Licensor's Technology for the sale and use of the KDS Micronizing Machine in Malaysia to be used in various industries, including but not limited to, the palm oil industry for dewatering and disintegrating (micronization) of palm waste products.

  • In the event that any improvements to KDS Micronizing Machine are made or discovered as a result of the Licensee’s work, the Licensee shall inform such improvements in writing to the Licensor, then said improvements will become the property of the Licensor, and form part of the Licensor’s Technology which is licensed herein.

  • Licensee is desirous of profiting by using Licensor’s Technology which is the subject matter of the Patents and of securing an exclusive license from the Licensor to use the Licensor’s Technology for the manufacture, sale and use of the KDS Micronizing Machine in Korea to be used in any industry.

  • In the event that any improvements to KDS Micronizing Machine are made or discovered as a result of the Licensee’s or Guarantor’s work, the Licensee shall inform such improvements in writing to the Licensor, then said improvements will become the property of the Licensor, and form part of the Licensor’s Technology which is licensed herein.

  • Licensee further agrees to pay to Licensor within thirty (30) days the royalty fees described in Clause 5.1 above computed from the date of delivery of the KDS Micronizing Machine.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Supported Web Browser means the current release from time to time of Microsoft Edge, Mozilla Firefox, Google Chrome or Apple Safari, or any other web browser that the Provider agrees in writing shall be supported;

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Diagnostic source assembly means the tube housing assembly with a beam-limiting device attached.

  • Aerosol coating product means a pressurized coating product containing pigments or resins that dispenses product ingredients by means of a propellant, and is packaged in a disposable can for hand-held application, or for use in specialized equipment for ground traffic/marking applications.

  • Core Network means the transport infrastructure identified in accordance with Chapter III of Regulation (EU) No 1315/2013;

  • Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;

  • Module means specific portion of the Application Software designated as such in the Documentation made available to the Customer under the Notification Form.

  • Beam axis means a line from the source through the centers of the x-ray fields.

  • Interoperability means the ability of a CenturyLink OSS Function to process seamlessly (i.e., without any manual intervention) business transactions with CLEC's OSS application, and vice versa, by means of secure exchange of transaction data models that use data fields and usage rules that can be received and processed by the other Party to achieve the intended OSS Function and related response.   • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Feedback means input regarding the SAP Products, services, business or technology plans, including, without limitation, comments or suggestions regarding the possible creation, modification, correction, improvement or enhancement of the SAP Products and/or services, or input as to whether Partner believes SAP’s development direction is consistent with their own business and IT needs.

  • Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except—

  • Polystyrene foam adhesive means an aerosol adhesive designed to bond polystyrene foam to substrates.

  • Cyanoacrylate adhesive means any adhesive with a cyanoacrylate content of at least 95% by weight.

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);

  • Sensor means any measurement device that is not part of the vehicle itself but installed to determine parameters other than the concentration of gaseous and particle pollutants and the exhaust mass flow.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Web spray adhesive means any aerosol adhesive that is not a mist spray or special purpose spray adhesive.

  • Open-Source Components means any software component that is subject to any open-source copyright license agreement, including any GNU General Public License or GNU Library or Lesser Public License, or other obligation, restriction or license agreement that substantially conforms to the Open Source Definition as prescribed by the Open Source Initiative or otherwise may require disclosure or licensing to any third party of any source code with which such software component is used or compiled.

  • Thermostat means a temperature control device that contains metallic mercury in an ampule attached to a bimetal sensing element, and mercury-containing ampules that have been removed from these temperature control devices in compliance with the requirements of § 273.13(c)(2) or 273.33(c)(2).

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment. Kodak software releases that are designated as Software Upgrade will be identified A.B.x where the A &B designates the release as a Software Upgrade.

  • Bioassay means the determination of kinds, quantities or concentrations and, in some cases, the locations of radioactive material in the human body, whether by direct measurement, in vivo counting, or by analysis and evaluation of materials excreted or removed from the human body. For purposes of these rules, “radiobioassay” is an equivalent term.
