Kirkland LTIP definition

Kirkland LTIP means the long term incentive plan established by Kirkland on January 1, 2017, as amended on December 8, 2017 and May 29, 2020, as described in the Kirkland Public Disclosure.

  • Legionella means a genus of bacteria, some species of which have caused a type of pneumonia called Legionnaires Disease.

  • Bonus Plan means the Company’s management incentive plan or such other annual bonus plan in existence at the applicable time.

  • Qard means a contract of lending money whereby the borrower is obliged to repay the equivalent amount to lender.

  • You/Your means the person who owns or leases the Covered Equipment and any person to whom the Policy is transferred pursuant to clause 11.

  • Equity Award means all incentive stock options, non-statutory stock options, shares of restricted stock, restricted stock units or other incentive equity awards in respect of shares of the Company’s equity securities that have been or will be granted to you by the Company.

  • ESBD means the Electronic State Business Daily, the electronic marketplace where State of Texas bid opportunities over $25,000 are posted. The ESBD may currently be accessed at http://www.txsmartbuy.com/esbd.

  • Embalmer means any person engaged in the practice of embalming.

  • We/Us/Our means TATA AIG General Insurance Company Limited.

  • SAM means the federal System for Award Management (SAM); which is the federal repository into which an entity must provide information required for the conduct of business as a recipient. 2 CFR 25 Appendix A (1)(C)(1).

  • SERFF means the system for electronic rate and form filing. SERFF is a proprietary NAIC computer-based application that allows insurers and other entities to create and submit rate, rule and form filings electronically to the commissioner.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • RSU Plan means the restricted share unit plan of the Company;

  • Non-Executive Directors means the Directors who are not in whole time employment of the Company.

  • Non-Executive Director Means any director who is not an Executive Director.

  • Grant Letter means the letter dated March 2019 from the Commissioner to the Recipient which sets out supplementary information in relation to the Grant.

  • The driver s ocular points" means two points 65 mm apart and 635 mm vertically above point R of the driver's seat as defined in Annex 8. The straight line joining these points runs perpendicular to the vertical longitudinal median plane of the vehicle. The centre of the segment joining the two ocular points is in a vertical longitudinal plane which shall pass through the centre of the driver's designated seating position, as specified by the vehicle manufacturer.

  • PSU means Public Sector Undertaking

  • EMMA means the Electronic Municipal Market Access system as described in 1934 Act Release No. 59062 and maintained by the MSRB for purposes of the Rule.

  • Proctor means any person, including, but not limited to,

  • GoPb means Government of the Punjab

  • Severance Plan means any severance plan maintained by the Company that is applicable to the Participant.

  • MIP has the meaning set forth in Section 3(b) of the Agreement.

  • Diocese means the Church of England diocese in which the Academies are situated;

  • Company Equity Incentive Plan means the Company’s omnibus equity plan, last approved by Company Shareholders on November 6, 2018 and as proposed to be amended at the Company’s May 7, 2019 shareholders’ meeting.

  • Offer Letter means the letter given to the Trainee providing him/her with an offer to join Infosys after the successful completion of the Program as a full-time employee in the capacity of a systems engineer, subject to terms and conditions contained in the offer letter.

  • Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.
