This Agreement shall commence on the Effective Date and shall expire five (5) years after Launch of Product in in either US or EU territory unless terminated earlier as provided herein, or by mutual written agreement of the Parties (the “Initial Term”).
Unless terminated in accordance with the provisions of this Agreement, the initial term (the "Initial Term") of this Agreement shall commence as of the Effective Date and shall continue until the third anniversary of the first Commercial Launch of Product.
For example and for illustration purposes only, if Company desires that Commercial Launch of Product begins on [*], Company shall provide to JMI no later than [*], a forecast of the quantities required for the calendar quarters beginning on [*].
Not less than ten (10) months prior to the estimated Launch of Product in such country, Xxxxxx shall provide Indevus with an updated forecast (the “Launch Forecast”) of its estimated requirements of Bulk Drug Product for each such six (6) Calendar Quarters, broken down on a quarterly basis.
The sole and exclusive license with regard to a Product hereunder shall become non-exclusive on a country-by-country basis at the later of (i) the expiry of the last Valid Claim of Trimeris Patents in such country or (ii) twelve (12) years after the Launch of Product in such country.
Not later than thirteen (13) months prior to the estimated Launch of Product in the first country in the Xxxxxx Territory, Xxxxxx shall provide Indevus a written forecast of its estimated requirements for Bulk Drug Product for the six (6) consecutive Calendar Quarters commencing with the Calendar Quarter in which such Launch is estimated to occur, broken down on a quarterly basis.
Not less than three (3) months prior to the estimated Launch of Product in such country, Xxxxxx shall provide Indevus with a forecast of its estimated requirements of Bulk Drug Product for the six (6) consecutive Calendar Quarters commencing at the beginning of the Calendar Quarter that is at least nine (9) months after the date of such forecast, broken down on a quarterly basis.
QIAGEN shall achieve the Commercial Launch of Product by [*] and use Commercially Reasonable Efforts to maximize sales of the Product in the Territory, including at a minimum, performing all of the obligations specified in the Commercialization Plan (defined below).
The royalty obligation under Section 7.1(b) shall, on a country-by-country basis continue for the longer of (i) twelve (12) years from Launch of Product in that country or (ii) the date of the last to expire Valid Claim of the Trimeris Patents which, but for this Agreement, would be infringed by Roche’s making, having made, using, importing, offering for sale or selling Product in that country.
Where such Commercialisation Plan is updated after Launch of Product in the Territory, in addition to containing details of Licensee’s proposed plans for Commercialisation, it shall also contain a summary of the progress of sales and marketing of Product in the Territory and sales forecasts for the Year covered by the Commercialisation Plan.
