Letter-of-Credit Rights and Chattel Paper. Exhibit C lists all Letter-of-Credit Rights and Chattel Paper of such Grantor. All action by such Grantor necessary or desirable to protect and perfect the Collateral Agent’s Lien on each item listed on Exhibit C (including the delivery of all originals and the placement of a legend on all Chattel Paper as required hereunder) has been duly taken. The Collateral Agent will have a fully perfected first priority security interest in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).

To the extent required by the prior sentence, the Administrative Agent will have a fully perfected first priority security interest in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).

All action by such Grantor necessary or desirable to protect and perfect the Administrative Agent’s Lien on each item listed on Exhibit C (including the delivery of all originals and the placement of a legend on all Chattel Paper as required hereunder) has been duly taken. The Administrative Agent will have a fully perfected first priority security interest in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).

All action by the Grantor necessary to protect and perfect the Lender’s security interest and Liens on each item listed on Exhibit C (including, without limitation, the delivery of all originals and the placement of a legend on all Chattel Paper as required hereunder) has been duly taken. The Lender will have a fully perfected first priority security interest and Lien in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).

As of the Effective Date, Exhibit C lists all Letter-of-Credit Rights and Chattel Paper (including any customer contracts) of such Grantor as of the Effective Date. All action by such Grantor necessary or desirable to protect and perfect the Administrative Agent’s Lien on each item listed on Exhibit C (including the delivery of all originals (other than with respect to any customer contracts) and the placement of a legend on all Chattel Paper as required hereunder) has been duly taken. The Administrative Agent will have a fully perfected first priority security interest in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).
Letter-of-Credit Rights and Chattel Paper. On the date hereof, Schedule 11 lists all Letter-of-Credit Rights and Chattel Paper of such Grantor. All action by such Grantor necessary to protect and perfect the Administrative Agent’s Lien under the laws of the United States on each item listed on Schedule 11 has been or, promptly following the Closing Date shall be, duly taken (including the delivery of all originals and the placement of a legend on all Chattel Paper as required hereunder).
Letter-of-Credit Rights and Chattel Paper. As of the date hereof, Exhibit F lists all Letter-of-Credit Rights and Chattel Paper of such Grantor. As of the date hereof, to the extent that (a) the aggregate of the face amounts of the letters of credit underlying such Letter-of-Credit Rights exceeds $2,500,000 or (b) such Chattel Paper evidences an aggregate amount in excess of $5,000,000, all actions by such Grantor necessary to protect and perfect the Collateral Agent’s Lien on each item listed on Exhibit F (including the delivery of originals and the placement of a legend on Chattel Paper in excess of $2,500,000 as required hereunder) have been duly taken. Such Grantor has not pledged, assigned or delivered any letter of credit or Chattel Paper to any third party other than the Collateral Agent or the ABL Collateral Agent (to the extent required by the Intercreditor Agreement).
Letter-of-Credit Rights and Chattel Paper. As of the date hereof, Exhibit C lists all Letter-of-Credit Rights and Chattel Paper of each Grantor, in each case having a value in excess of $150,000 individually or $500,000 in the aggregate. Promptly upon request by the Administrative Agent following the occurrence and during the continuation of an Event of Default, all action by each Grantor necessary or desirable to protect and perfect the Administrative Agent’s Lien on each item listed on Exhibit C (including the delivery of all originals and the placement of a legend on all Chattel Paper as required hereunder) shall be duly taken and thereafter the Administrative Agent will have a fully perfected first priority security interest in the Collateral listed on Exhibit C, subject only to Liens permitted under Section 4.1(e).
