Liberty Entertainment Common Stock definition

Liberty Entertainment Common Stock means the Series A Liberty Entertainment common stock, par value $.01 per share, and the Series B Liberty Entertainment common stock, par value $.01 per share.
Liberty Entertainment Common Stock means, collectively, (i) the Series A Liberty Entertainment common stock, par value $0.01 per share, and, upon the redemption of a portion of such shares in connection with the LEI Split-off, the shares of Series A Liberty Entertainment common stock not so redeemed (the shares outstanding following such redemption being redesignated as the Series A Liberty Starz common stock, par value $0.01 per share), and (ii) the Series B Liberty Entertainment common stock, par value $0.01 per share, and, upon the redemption of a portion of such shares in connection with the LEI Split-off, the shares of Series B Liberty Entertainment common stock not so redeemed (the shares outstanding following such redemption being redesignated as the Series B Liberty Starz common stock, par value $0.01 per share).

  • Except for the Xxxxxx Liberty Shares, as of the date hereof, no Xxxxxx Beneficially Owns or owns of record (i) any other shares of Liberty Entertainment Common Stock, (ii) any securities that are convertible into or exercisable or exchangeable for Liberty Entertainment Common Stock (other than the Xxxxxx Awards outstanding on the date hereof set forth on Schedule 10(b)) or (iii) any Equity Securities of any Subsidiary of Splitco.

  • If less than all of the shares of Liberty Entertainment Common Stock represented by any one certificate are to be redeemed or converted, the Corporation will issue and deliver a new certificate for the shares of Liberty Entertainment Common Stock not redeemed or converted.

  • Liberty shall mail the Liberty Proxy Statement to the holders of Liberty Entertainment Common Stock as promptly as practicable after the Splitco Form S-4 is declared effective under the Securities Act.

  • Neither the failure to mail any notice required by this paragraph (f)(iv) to any particular holder of Liberty Entertainment Common Stock nor any defect therein will affect the sufficiency thereof with respect to any other holder of outstanding shares of Liberty Entertainment Common Stock, or the validity of any action taken pursuant to this Certificate.
