Licensee Transfer Period is defined in Subparagraph 9(c)(iii).
Transfer Period means a period of 10 Working Days before a Customer’s order can be activated;
License Period means the period beginning from the Commencement Date and ending on the Termination Date.
Transferable development right means a right to develop and use land that
License Term means the duration of a License as specified in the Order.
Regulatory Exclusivity Period means, with respect to each Licensed Product in any country in the Territory, a period of exclusivity (other than Patent exclusivity) granted or afforded by Applicable Law or by a Regulatory Authority in such country that confers exclusive marketing rights with respect to such Licensed Product in such country or prevents another Person from using or otherwise relying on any data supporting the approval of the Drug Approval Application for such Licensed Product to support an application for regulatory approval of another product for any indication without the prior written consent of the Drug Approval Application holder.
License holder means an individual, corporation, partnership, governmental unit, association or any other entity to whom a license was issued under Iowa Code chapter 137C, 137D or 137F.
Sublicense Revenue means [***].
Signaling Transfer Point (“STP”) means a signaling point that performs message routing functions and provides information for the routing of messages between signaling points within or between CCIS networks. A STP transmits, receives and processes CCIS messages.
End User License means any license terms imposed by any Third Party Vendor on Customers and End Users. “Force Majeure Event” means an event or occurrence:
licensed activity means any activity or activities listed in section 21 of the 2010 Act which is, or are authorised under the licence;
Royalty Period means the partial calendar quarter commencing on the date on which the first Licensed Product is sold or used and every complete or partial calendar quarter thereafter during which either (a) this Agreement remains in effect or (b) Company has the right to complete and sell work-in-progress and inventory of Licensed Products pursuant to Section 8.5.
Sublicense Revenues means [***].
Royalty Term means, on a country-by-country basis, the period commencing on the First Commercial Sale of a Licensed Product in a country and ending on the latest of (a) ** thereafter, (b) expiration of the last-to-expire Valid Claim of a Licensed Patent that Covers the composition of matter of the Licensed Product in the country in which it is sold, or (c) the expiration of all Regulatory Exclusivity Rights with respect to such Licensed Product in the country in which it is sold.
Technology Transfer Plan has the meaning set forth in Section 4.1.5.
License Key means a unique key-code that enables Licensee to run Software subject to the obtained User Pack.
Sublicensee means a third party to whom LICENSEE grants a sublicense of certain rights granted to LICENSEE under this Agreement.
End User License Agreement means a license grant or end user license agreement governing software as further described in this Agreement or any applicable Appendix.
Collaboration Term has the meaning set forth in Section 2.1(h).
Collaborative law process means a procedure intended to resolve a collaborative matter without intervention by a tribunal in which persons sign a collaborative law participation agreement and are represented by collaborative lawyers.
Sublicense Fees shall have the meaning set forth in Section 7.3 below.
Exclusivity Period shall have the meaning set forth in Section 6.11.
ISIS means the department’s individualized services information system.
Development Milestone Payment shall have the meaning set forth in Section 9.2(a).
licensed activities means things authorised to be done by the licence
Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].
Licensed Nurse means an Oregon licensed practical or registered nurse.
