To the extent not prohibited by law, Licensee shall indemnify, defend and save harmless Licensor, Manager and the Licensor Related Parties from and against any and all liability, claims, damages, costs and expenses including, without limitation, reasonable attorney’s fees resulting from or in connection with Licensee’s use and occupancy of the Premises or any acts or omissions of Licensee or any of its employees, agents, invitees, customers, visitors, or similar parties (the “Licensee Related Parties”).
To the extent not prohibited by law, Licensee waives all claims against Licensor, Manager, and the Licensor Related Parties for injury to persons (including death) or damage to, or theft or loss of, property sustained by Licensee, any of the Licensee Related Parties, or any person claiming through Licensee, resulting from any occurrence in or upon the Premises or the adjacent parking lot.
If Licensor is found by a court of law to have failed to perform its obligations in accordance with any of the provisions of this Agreement, any money judgment resulting from such failure shall be satisfied only out of Licensor’s interest in the Premises, and Licensor, Manager, and their respective directors, employees, agents or principals, shall have no personal liability hereunder.
Licensee hereby waives all subrogation rights of its insurance carriers in favor of Licensor and Manager and any Licensor Related Parties, and all insurance required to be carried by Licensee under this Agreement shall include provisions denying to its insurer rights of subrogation and recovery against Licensor, Manager, or any of the Licensor Related Parties.
Such notices shall be deemed duly given when written and delivered personally or when sent by first class mail, postage prepaid, or via commercial overnight courier, to the intended party’s representative at the addresses set forth below, or at such changed addresses as may from time to time be designated in a notice similarly delivered or mailed: Licensor: Manager -Telecommunications Attachments Dept.
If Licensor, Manager, or their agents or employees shall, without fault on their part, be made a party to any litigation arising out of any act or omission of Licensee, Licensee shall pay all costs and expenses, including reasonable attorneys’ fees, incurred by said parties on account of said litigation.
The applicable Licensor Manager and Customer Manager shall communicate as necessary to review the performance of the parties under this Agreement and to resolve any disputes.
If the Licensee and or occupants are found to be in violation, Licensor/ Manager may terminate this Agreement, reenter the Property and immediately deny continued use of the Property with no refund.
