Limitation of Liability and Indemnification of Member Sample Clauses
The Limitation of Liability and Indemnification of Member clause serves to restrict the personal liability of a member for actions taken on behalf of the company and to provide protection against certain legal claims. Typically, this clause ensures that members are not held personally responsible for the debts or obligations of the company beyond their investment, and that the company will cover legal costs or damages arising from actions taken in good faith within the scope of their duties. Its core function is to allocate risk by shielding members from personal financial exposure and encouraging them to act in the company's best interests without fear of personal loss.
