Linens Group definition

Linens Group means Linens and its Subsidiaries as of (and, except where the context clearly indicates otherwise, after) the Initial Public Offering Date (including all predecessors to such Persons).

Examples of Linens Group in a sentence

  • The responsibility for preparing and filing all Returns, and for making all payments to any Taxing Authority, relating solely to Other Taxes attributable to the Linens Group shall be the sole responsibility of Linens and its Post-Deconsolidation Affiliates.

  • Except as otherwise contemplated hereby, all prior agreements and arrangements, including those relating to goods, rights or services provided or licensed, between the Linens Group and the CVS Group shall be terminated effective as of the Initial Public Offering Date, if not theretofore terminated.

  • All intercompany receivable, payable and loan balances in existence as of the date hereof between the CVS Group and Linens Group will be eliminated in the manner described in the Registration Statement.

  • Within three months after the date hereof, the Board of Directors of Linens (the "Linens Board") shall fill two of the vacancies on the Linens Board with individuals who are not officers or employees of any entity in the CVS Group or the Linens Group.

  • All intercompany receivable, payable and loan balances in existence as of the date hereof between the CVS Group and Linens Group will be eliminated as provided in Schedule 3.03 hereto.

  • CVS shall inform and consult with Linens prior to taking any action on behalf of, or which will have any material impact on the Tax liability of the Linens Group.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Community Contribution Company means a corporation formed under the laws of British Columbia that includes in its articles the following statement:

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Management Group means the group consisting of the directors, executive officers and other management personnel of the Issuer or any direct or indirect parent of the Issuer, as the case may be, on the Issue Date together with (1) any new directors whose election by such boards of directors or whose nomination for election by the shareholders of the Issuer or any direct or indirect parent of the Issuer, as applicable, was approved by a vote of a majority of the directors of the Issuer or any direct or indirect parent of the Issuer, as applicable, then still in office who were either directors on the Issue Date or whose election or nomination was previously so approved and (2) executive officers and other management personnel of the Issuer or any direct or indirect parent of the Issuer, as applicable, hired at a time when the directors on the Issue Date together with the directors so approved constituted a majority of the directors of the Issuer or any direct or indirect parent of the Issuer, as applicable.

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • Bank Holding Company means a company registered as such with the Board of Governors of the Federal Reserve System pursuant to 12 U.S.C. §1842 and the regulations of the Board of Governors of the Federal Reserve System thereunder.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Operating Company has the meaning set forth in the preamble.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, Mainland China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • financial holding company means a financial holding company as defined in point (20) of Article 4(1) of Regulation (EU) No 575/2013;

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • Residentia Group means Residentia Group Pty Ltd of 165 Barkly Avenue Burnley VIC, ACN 600 546 656 in respect of Appliances purchased in Australia;

  • CFC Holding Company means each Domestic Subsidiary that is treated as a partnership or a disregarded entity for United States federal income tax purposes and that has no material assets other than assets that consist (directly or indirectly through disregarded entities or partnerships) of Equity Interests or indebtedness (as determined for United States tax purposes) in one or more CFCs.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • DG means Distributed Generation.

  • Generating Company means any company or body corporate or association or body of individuals, whether incorporated or not, or artificial juridical person, which owns or operates or maintains a generating station;

  • Foreign Holding Company means any Domestic Subsidiary substantially all of the assets of which consist of Equity Interests and/or Indebtedness of one or more Foreign Subsidiaries or other Foreign Holding Companies.

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • LLC means Limited Liability Company.
