Liquidity Event Price definition

Liquidity Event Price means the amount payable in respect of each Common Share upon the occurrence of the Liquidity Event; provided that in the absence of an established amount payable in connection with the Liquidity Event, the “Liquidity Event Price” shall be determined in good faith by the Board and such determination shall be conclusive and binding on all persons;
Liquidity Event Price means the means the offering price per share (in the case of any IPO) or direct listing price per share (in the case of a Direct Listing) in the first Liquidity Event to occur after the Closing Date.

  • The exercise price per Common Share under this Warrant shall be equal to Liquidity Event Price, subject to adjustment hereunder (the “Exercise Price”).

  • The exercise price per share of Common Stock under this Warrant shall be equal to 0.8125 multiplied by the Liquidity Event Price (as defined in the Note), subject to adjustment hereunder (the “Exercise Price”).

More Definitions of Liquidity Event Price

Liquidity Event Price means the highest price per share of Common Stock paid in any Liquidity Event. There shall be no proportionate or partial vesting in the periods prior to each vesting date and all vesting shall occur only on the appropriate vesting date, except for acceleration as provided herein or in the Plan. For avoidance of doubt, once the 30-day VWAP targets set forth above are achieved, such PSU shall not become unvested if the trading price of the Company subsequently declines. Any PSUs that have not vested in accordance with the terms of this Agreement as of August 23, 2025 shall be forfeited for no consideration on August 23, 2025.
Liquidity Event Price means (i) with respect to any Liquidity Event that constitutes a Sale Event, the sum of (A) the price paid in such Sale Event for a Class A Common Unit and (B) the aggregate amount of cash dividends or distributions (other than Tax Distributions and without duplication of any amounts taken into account in clause (i)(A)) paid in respect of a Class A Common Unit following the Transaction Closing and on or prior to the date of such Sale Event, and (ii) with respect to any Liquidity Event that constitutes a Dividend Payment, the sum of (A) the aggregate amount of cash dividends or distributions (other than Tax Distributions) paid in respect of a Class A Common Unit following the Transaction Closing and on or prior to the date of the Sale Event occurring prior to the Dividend Payment (if any) in which the highest price per Class A Common Unit is paid (the “Reference Sale Event”) or, if no Sale Event has occurred after the Transaction Closing, all such dividends and distributions following the Transaction Closing, and (B) solely to the extent a Sale Event has occurred prior to a Dividend Payment, the greater of (x) the price paid for a Class A Common Unit in the Reference Sale Event occurring immediately prior to such Dividend Payment and (y) the aggregate amount of cash dividends or distributions (other than Tax Distributions and without duplication of any amounts taken into account in clause (ii)(B)) paid in respect of a Class A Common Unit following such Reference Sale Event; provided that, in connection with a Sale Event consisting of more than one consecutive and related transaction, the price included in subsections (i)(A), (ii)(A) and (ii)(B) of this definition shall be the lowest price paid in exchange for a Class A Common Unit in the transactions included in such Sale Event.

Liquidity Event Price means, in the case of: (i) a Qualified IPO, the initial offering price per share to the public of Common Stock pursuant to such Qualified IPO; (ii) a Qualified Sale, the aggregate consideration paid pursuant to such Qualified Sale for each share of Common Stock then outstanding; and (iii) an Organic Change, Appraised Value, based on the determination of an investment banking firm selected by the Company and the Required Holders.
Liquidity Event Price means the price per share (or per unit, if units are offered in the Liquidity Event) at which the Liquidity Event is consummated. For the avoidance of doubt, if a unit includes more than one share of Common Stock, “Liquidity Event Price” shall mean the unit price divided by the number of shares of Common Stock contained in a unit.
