Liquidity Purchaser definition

Liquidity Purchaser shall have the meaning specified in the Class A-1 Certificate Purchase Agreement.

Liquidity Purchaser means, with respect to a Conduit Purchaser, each Class A-2 Purchaser identified as a Liquidity Purchaser for such Conduit Purchaser in the Joinder Supplement or Transfer Supplement pursuant to which such Conduit Purchaser became a party hereto, and any Assignee of such Class A-2 Purchaser to the extent such Assignee has assumed, pursuant to a Transfer Supplement, the Commitment of such Class A-2 Purchaser.

Liquidity Purchaser means the provider of the Liquidity Facility then in effect.

• The following are Events of Default under the Initial Liquidity Facility which do NOT permit immediate termination of the Initial Liquidity Facility or suspension of the Initial Liquidity Purchaser’s obligations under the Initial Liquidity Facility: (i) The Metropolitan Government shall fail to pay when due any amounts (other than as described in II(C) below) owed by the Metropolitan Government to the Initial Liquidity Purchaser pursuant to the Initial Liquidity Facility.

• If at any time all of the Variable Rate Bonds then subject to purchase under the Liquidity Facility shall have been paid or converted to an Interest Period not covered by the Liquidity Facility, the Tender Agent shall surrender the Liquidity Facility to the Liquidity Purchaser in accordance with the terms of such Liquidity Facility, for cancellation.
