In the event that the Retention Payments are not paid to Listed Employees as a result of the Listed Employee’s failure to sign a full and final release, such amounts shall be forthwith remitted to counsel for the Purchaser to be applied against any contingent or potential liability arising out of the termination of such Listed Employee.
The Vendors and the Vendor Group shall not attempt in any way to discourage any of the Listed Employees from accepting any offer of employment to be made by the Purchaser or its Affiliates.

Buyer shall reimburse Sellers for 50% of all compensation related costs and expenses payable to the Listed Employees by Sellers or any of their Affiliates (including the cost of benefits provided by Sellers or their Affiliates under an Employee Benefit Plan), in each case as referenced in 29 U.S.C. § 2104 (“WARN Costs”); provided, however that if the WARN Costs exceed $4,000,000 in the aggregate, Buyer shall reimburse Sellers for 100% of such excess.
