LLC Unit Holder definition

LLC Unit Holder means holders of Units other than the Corporate Taxpayer.
LLC Unit Holder has the meaning set forth in the Recitals of this Agreement.

  • Notwithstanding the foregoing, in the event that Corporate Taxpayer materially breaches this Agreement, each LLC Unit Holder shall be entitled to elect to receive the amounts set forth in clauses (1), (2), (3) and (4) above or to seek specific performance of the terms hereof.

  • To the extent that amounts are so withheld and paid over to the appropriate Taxing Authority by Corporate Taxpayer, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to such LLC Unit Holder.

  • Such payment shall be made, at the sole discretion of Corporate Taxpayer, by wire or Automated Clearing House transfer of immediately available funds to a bank account or accounts designated by the LLC Unit Holder or as otherwise agreed by Corporate Taxpayer and the LLC Unit Holder.

  • The term ―aquifer overexploitation‖ is not capable of rigorous scientific definition (GWMATE 2002b) because of the sheer complexity of physical, environmental, socioeconomic, and other factors related to groundwater abstraction.

  • Each such payment shall be made, at the sole discretion of Corporate Taxpayer, by wire or Automated Clearing House transfer of immediately available funds to the bank account previously designated by the applicable LLC Unit Holder to Corporate Taxpayer or as otherwise agreed by Corporate Taxpayer and the applicable LLC Unit Holder.

  • Corporate Taxpayer and each LLC Unit Holder agree to report and cause to be reported for all purposes, including federal, state and local Tax purposes, all Tax-related items (including the Basis Adjustments and each Tax Benefit Payment and any Imputed Interest) in a manner consistent with that specified by Corporate Taxpayer in any Schedule provided by or on behalf of Corporate Taxpayer under this Agreement unless otherwise required by law based on written advice of an Advisory Firm.

  • Unit Holder means a person holding units in the scheme of the Mutual Fund.
