The Seller shall notify the Department of its intent to sell Loans pursuant to this Master Loan Sale Agreement at least forty-five (45) calendar days prior to the related Purchase Date and shall deliver a Loan Schedule for the Loans to be sold on a particular Purchase Date to the Department together with such notice.
Any payment received by the Seller with respect to amounts accrued after the date of the related Bill of Sale for any Loan sold to the Department, which payment is not reflected in the related Loan Schedule, shall be held by the Seller in trust for the account of the Department and the Seller hereby disclaims any title to or interest in any such amounts.
The Seller authorizes the Department to use a copy of this Bill of Sale, including the Loan Schedule attached to the Bill of Sale, as official notification to the applicable Guarantor of assignment to the Department of the Loans purchased pursuant hereto on the Purchase Date.
