Lone Pine Group definition

Lone Pine Group means the Affiliated Group, or similar group of entities as defined under corresponding provisions of the laws of other jurisdictions, of which Lone Pine will be the common parent corporation immediately after the Distribution, and any corporation or other entity which may become a member of such group from time to time.

  • As soon as practicable after the Separation Date, Forest shall use reasonable best efforts to deliver or cause to be delivered to Lone Pine all Lone Pine Books and Records in the possession of Forest or any member of the Forest Group, and Lone Pine shall use reasonable best efforts to deliver or cause to be delivered to Forest all Forest Books and Records in the possession of Lone Pine or any member of the Lone Pine Group.

  • Lone Pine and Forest shall consult with each other as to the timing of their annual and quarterly earnings releases and any interim financial guidance for a current or future period and shall give each other the opportunity to review the information therein relating to the Lone Pine Group and to comment thereon.

  • The parties acknowledge and agree that Forest may in good faith enter into additional contracts or amendments to existing contracts; providing, that certain actions or inactions of subsidiaries or affiliates of Forest (including, for purposes of such contracts or amendments, members of the Lone Pine Group) may result in Forest being in breach of, or in default under, such contracts.

  • In such event, provided, that Forest has notified Lone Pine of such additional contracts or amendments, Lone Pine shall not thereafter take or fail to take, as applicable, and Lone Pine shall cause the other members of the Lone Pine Group not to take or fail to take, as applicable, any actions that reasonably could result in Forest being in breach of or in default under such additional contracts or amendments.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • SpinCo shall have the meaning set forth in the Preamble.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Minority Group means any of the following racial or ethnic groups:

  • ITT has the meaning given to it in the recitals to this Framework Agreement;

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • CHS means Code Xxxxxxxx & Xxxxxxx IV LP, a Delaware limited partnership.
