Majority Class C Certificateholder definition

Majority Class C Certificateholder means the Holder of a 50.01% or greater Percentage Interest in the Class C Certificates.

  • All net income and gain from such investments shall be distributed to the Majority Class C Certificateholder, not as a distribution in respect of any interest in any REMIC, on such Distribution Date.

  • In the event such notice is given in connection with the Majority Class C Certificateholder or its designee's election to repurchase, the Majority Class C Certificateholder or its designee shall deliver to the Trustee for deposit in the Certificate Account on the Business Day immediately preceding the Distribution Date specified in such notice an amount equal to the above-described repurchase price payable out of its own funds.

  • The right to repurchase all Mortgage Loans and REO Properties by the Majority Class C Certificateholder pursuant to clause (a) in the preceding paragraph shall be conditioned upon the Stated Principal Balance of all of the Mortgage Loans in the Trust Fund, at the time of any such repurchase, aggregating 10% or less of the aggregate Cut-off Date Principal Balance of all of the Mortgage Loans.

  • The Swap Provider shall, no later than 2:00 pm on the following Business Day, notify in writing (which may be in electronic format) the Trustee of the amount of the Estimated Swap Termination Payment, and the Trustee shall promptly on the same day notify the Majority Class C Certificateholder of the amount of the Estimated Swap Termination Payment.

  • Class D Certificateholder Has the meaning specified in Section 4.01(b)(iv) of this Trust Supplement.

  • Applicable Certificateholder Means the Person in whose name an Applicable Certificate is registered on the Register for the Applicable Certificates.
