Mandatory Change of Control Redemption has the meaning assigned to it in Section 6(b)(i) hereof.

Mandatory Change of Control Redemption provided, however, that such Mandatory Change of Control Redemption shall not occur prior to the earlier of (x) the date that is 20 days following the Change of Control Event and (y) the date on which the repayment in full of all Obligations under the Senior Credit Facility and the termination of all Commitments thereunder has occurred (the “Mandatory Change of Control Trigger Date”). From and after the date that is 31 days following the consummation of a Change of Control Event until the Mandatory Change of Control Redemption has been consummated, the Distribution Rate payable by the Partnership on the Class A Preferred Units shall increase by 7.0% per annum for all periods set forth in the definition of Distribution Rate.

From and after the date that is 31 days following the consummation of a Change of Control Event until the Mandatory Change of Control Redemption has been consummated, the Distribution Rate payable by the Partnership on the Class A Preferred Units shall increase by 7.0% per annum for all periods set forth in the definition of Distribution Rate.

Failure to give notice to any holder of Class [TBD] Common Bits shall not affect the validity of the proceedings for the Mandatory Change of Control Redemption of any Class [TBD] Common Bits being redeemed or the Company’s obligations to redeem the Bits.
In the event the Company is required to effect a Mandatory Change of Control Redemption, the Company shall, subject to clause (y) below, give notice of any such Mandatory Change of Control Redemption to the holders of the Class [TBD] Common Bits not more than 60 nor less than 10 prior to the date fixed for such Mandatory Change of Control Redemption.

Related to Mandatory Change of Control Redemption

Change of Control Redemption Date shall have the meaning set forth in Section 7.2;
Change of Control Redemption Premium means 125%.
Change of Control Redemption Price shall have the meaning set forth in Section 7.3;
Change of Control Conversion Date shall have the meaning provided in the Articles Supplementary.
Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.
Automatic Early Redemption Event means that:
Change of Control Repurchase Event means the occurrence of both a Change of Control and a Ratings Event.
Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.
Mandatory Redemption Event has the meaning given to it in Condition 8.7.
Make-Whole Fundamental Change Conversion Period has the following meaning:
Make-Whole Fundamental Change means any transaction or event that constitutes a Fundamental Change (as defined above and determined after giving effect to any exceptions to or exclusions from such definition, but without regard to the proviso in clause (b) of the definition thereof).
Tax Event Redemption means, if a Tax Event shall occur and be continuing, the redemption of the Notes, at the option of the Company, in whole but not in part, on not less than 30 days nor more than 60 days prior written notice.
Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).
Special Event Redemption Price has the meaning specified in Section 11.2.
Special Redemption Date has the meaning set forth in Section 10.2.
Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.
Optional Redemption Date shall have the meaning set forth in Section 6(a).
Special Mandatory Redemption Event has the meaning specified in Section 3.02(a) hereto.
Tax Redemption Date shall have the meaning specified in Section 16.02(a).
Special Redemption has the meaning set forth in Section 15.1.A hereof.
Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.
Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.
Optional Redemption Period shall have the meaning set forth in Section 6(a).
Make-Whole Fundamental Change Period shall have the meaning specified in Section 14.03(a).
Change of Control Put Date shall have the meaning specified in Section 11.1.
