Manufacturer Indemnitees definition

Manufacturer Indemnitees has the meaning set forth in Section 12.2.

Manufacturer Indemnitees has the meaning specified in Section 10.3;

Manufacturer Indemnitees means (i) Manufacturer and its Affiliates; (ii) each of the respective past, present and future directors, officers, employees or agents of the entities described in (i) above, in each case in their respective capacities as such; and (iii) each of the heirs, executors, administrators, successors and assigns of any of the foregoing.

Examples of Manufacturer Indemnitees in a sentence

• Manufacturer Indemnitees shall fully cooperate with Company in the defense or settlement of any claim of Losses under this Section 10.1; provided, however, that no Manufacturer Indemnitee shall be required to admit fault or responsibility in connection with any settlement.

• Manufacturer Indemnitees shall promptly and in any event within thirty (30) days notify Company of any known Claim which is the subject of Losses.

• Except as otherwise specifically set forth in any provision of this Agreement, Purchaser shall, to the fullest extent permitted by Law, indemnify, defend and hold harmless each of the Manufacturer Indemnitees from and against all Purchaser Indemnity Obligations.

• Manufacturer Indemnitees shall have the right to select and to obtain representation by separate legal counsel at its own expense.
