Market Cap Milestone means achievement by Borrower of an average Market Capitalization of $[***] over a trailing [***] month period on or prior to June 30, 2019.

Examples of Market Cap Milestone in a sentence

  • The Milestone Option shall remain outstanding unless and until the last possible time that the 2023 Revenue Threshold can be achieved, the Market Cap Milestone can be achieved or a Change in Control may occur during the term of the Milestone Option.

  • In the event the Market Cap Milestone is achieved, any unvested portion of the Milestone Option subject to any Revenue Threshold shall fully vest.

  • Development Milestone is defined in Section 5.3.

  • Market Capitalization means an amount equal to (i) the total number of issued and outstanding shares of Capital Stock of the IPO Entity on the date of the declaration of the relevant dividend, multiplied by (ii) the arithmetic mean of the closing prices per share of such Capital Stock for the 30 consecutive trading days immediately preceding the date of the declaration of such dividend.

  • Trigger Level means with respect to an Index, the level specified as such in Annex 1 with respect to such Index

  • Measurement Period shall have the meaning specified in Section 14.01(b)(i).

  • Additional Accelerated Purchase Minimum Price Threshold means, with respect to an Additional Accelerated Purchase made pursuant to Section 2(c) hereof, any minimum per share price threshold set forth in the applicable Additional Accelerated Purchase Notice.
