If the Call Event results from the occurrence of an event described in clauses (ii), (iii) or (iv) of Section 8(a), the Section 8 Repurchase Price per Option Share shall be equal to the lesser of (x) the Market Price Per Share and (y) the Option Price Per Share plus the product of (I) the Vested Percentage (as defined in Section 6) and (II) the amount, if any, by which the Market Price Per Share exceeds the Option Price Per Share.
