Material Company IP Rights definition

Material Company IP Rights means all Company IP Rights other than those which, individually or in the aggregate, are not material to conduct the Company’s business in the manner in which its business is currently being conducted.
Material Company IP Rights means (i) all Patents within the Company Intellectual Property Rights covering or claiming Defibrotide, or its use or manufacture and (ii) all material Company Intellectual Property Rights (other than Patents) relating to or used in Defibrotide, or its use or manufacture.
Material Company IP Rights means all IP Rights owned solely or co-owned by the Companies, or in which either or the Companies has any right by Contract or license to use or exploit, but excluding IP Rights that, individually or in the aggregate, are not material to the conduct of the Company Business. Material Company IP Rights specifically excludes any IP Rights granted to the Companies pursuant to (a) any non-disclosure agreements entered into in the ordinary course of business; (b) licenses for open source software; and (c) licenses for computer software that is generally available on nondiscriminatory pricing terms and has an individual acquisition cost of $25,000 or less per software package.

Material Company IP Rights has the meaning set forth in Section 3.10(a)(iii).
Material Company IP Rights means all Company IP Rights, which are material to the conduct of the Company's business in the manner in which its business is currently being conducted.

Related to Material Company IP Rights

  • Company IP Rights means (a) any and all Intellectual Property used in the conduct of the business of the Company or any of its Subsidiaries as currently conducted, and (b) any and all other Intellectual Property owned by the Company or any of its Subsidiaries.

  • IP Rights has the meaning specified in Section 5.17.

  • Material Intellectual Property means Intellectual Property owned by or licensed to a Grantor and material to the conduct of any Grantor’s business.

  • Owned Company IP means the Intellectual Property that is owned by the Company or any of the Company Subsidiaries.

  • Transferred Intellectual Property means (i) all Intellectual Property Rights owned by the Acquired Companies, (ii) the Transferred Trademarks, (iii) the Transferred Patents, (iv) the Transferred Domains, and (v) all other Intellectual Property Rights owned by Sellers or their respective Affiliates as of the Closing Date that are exclusively used in or are exclusively related to the development, manufacture, marketing, use or sale of the Business Products.

  • Intellectual Property Right means any patent, patent right, trademark, trademark right, trade name, trade name right, service xxxx, service xxxx right, copyright and other proprietary intellectual property right and computer program.

  • Intellectual Property Rights (IPR) (11/18) means any patent rights, copyrights, trade secrets, trade names, service marks, trademarks, trade dress, moral rights, know-how and any other similar rights or intangible assets to which rights of ownership accrue, and all registrations, applications, disclosures, renewals, extensions, continuations, or reissues of the foregoing now or hereafter in force. “Key Personnel” (11/18) means the specific individuals identified in Section 3.11 to fill Key Positions.

  • Purchased Intellectual Property has the meaning set forth in Section 1.2(g).

  • Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.

  • Pre-Existing Intellectual Property means intellectual property developed prior to or outside the scope of this Contract, and any derivatives of that intellectual property.

  • Company Intellectual Property Assets means all Intellectual Property Assets owned by the Company or used or held for use by the Company in the Business and all Products.
