Material Items definition

Material Items means nonmedical goods and services that meet short-term, basic needs and support Expectant Parents during pregnancy and up to one (1) year following a Child’s birth.

Material Items means matters occurring prior to the date of this Agreement, which would have an adverse impact of $350,000 or greater individually or in the aggregate on the Assets or the Companies. Buyer agrees that if it terminates this Agreement as a result of an amendment to the Disclosure Schedule or other schedule that does not constitute a Material Item, Buyer shall not have any recourse against Sellers.
