Examples of Material Premises in a sentence
Other than as set forth in the Prospectus, there are no outstanding judgments, writs of execution, seizures, injunctions or directives against, nor any work orders or directives or notices of deficiency capable of resulting in work orders or directives with respect to any of the Material Premises which could reasonably be expected to have a Material Adverse Effect.
To the knowledge of the Company, neither the Company nor any of its Subsidiaries, has used the Material Premises, or any facility which it previously owned or leased, to generate, manufacture, process, distribute, use, treat, store, dispose of, transport or handle any Hazardous Materials other than in compliance with Environmental Laws.
The Material Premises constitute each premises which is material to the Company or any of its Subsidiaries, and with respect to the Material Premises, the Company or one of its Subsidiaries occupies the Material Premises and has the exclusive right to occupy and use the Material Premises (as tenant in respect of the Leased Premises).
To the knowledge of the Company, neither the Company nor any of its Subsidiaries is, nor have any of them ever been, in material violation of, in connection with the ownership, use, maintenance or operation of the Material Premises and assets, any Environmental Laws, except where such violation would not have a Material Adverse Effect.
