Material Provider Contract definition

Material Provider Contract means any contract with a third party payor, including, without limitation, employers, insurance companies and managed care companies, to provide health care services to patients at the Center and which during the twelve (12) month period ending June 1, 2007 reimbursed the Seller for ten (10) or more cases performed at the Center.
Material Provider Contract shall have the meaning referenced in Section 2.7.2 hereof.
Material Provider Contract has the meaning set forth in Section 4.07(a).

  • Notwithstanding anything to the contrary in this Agreement, no Contract shall be (or shall be deemed to be) a Material Provider Contract if the counterparty to such Contract is Parent or any of Parent’s Subsidiaries.

A contract for the purchase or lease of goods, products, equipment, supplies or other property is not a “service subcontract” for the purposes of this definition.

  • Major Contract means (i) any management agreement relating to the Properties or the Loan Parties, (ii) any agreement between any Loan Party and any Affiliate of any Relevant Party and (iii) any brokerage, leasing, cleaning, maintenance, service or other contract or agreement of any kind (other than Leases) relating to the Properties, in each case involving payment or expense of more than One Million and No/100 Dollars ($1,000,000) during any twelve (12) month period, unless cancelable on thirty (30) days or less notice without requiring payment of termination fees or payments of any kind.
