Maximum Number of Underlying Shares definition

Maximum Number of Underlying Shares means as of any date the product of (i) the Maximum Conversion Rate on such date and (ii) the sum of (a) the aggregate principal amount of outstanding Notes and (b) prior to the earlier of the expiration and any exercise in full of the Initial Purchasersoption to purchase additional Notes as set forth in the Purchase Agreement, the aggregate principal amount of Notes that may be so purchased, in each case, expressed in thousands.
Maximum Number of Underlying Shares has the meaning given to that term in Section 5.09(b).
Maximum Number of Underlying Shares shall have the meaning specified in Section 14.02(a)(iii).
