Maximum Obligations Amount definition

Maximum Obligations Amount has the meaning specified in the Intercreditor Agreement.
Maximum Obligations Amount means (a) in respect of the Term Loan Credit Agreement, the sum of (i) the aggregate principal amount of Term Loan Obligations up to, but not in excess of, $220,000,000 plus (ii) any interest, fees, attorneys fees, costs, expenses, and indemnities payable on account of such principal amount under the Term Loan Credit Agreement in respect thereof, plus (iii) all amounts owing under Secured Hedge Agreements (as defined in the Term Loan Credit Agreement), minus the aggregate amount of all payments and prepayments of principal of Advances (as defined in the Term Loan Credit Agreement) made from and after the date hereof; and (b) in respect of the ABL Credit Agreement, the sum of (i) the aggregate principal amount (including the undrawn amount of all letters of credit and all other credit accommodations) of ABL Obligations up to, but not in excess of, $300,000,000 plus (ii) any interest, fees, attorneys fees, costs, expenses, and indemnities payable on account of such principal amount under the ABL Credit Agreement in respect thereof, plus (iii) all amounts owing under Secured Hedge Agreements (as defined in the ABL Credit Agreement), minus the aggregate amount of all permanent reductions of the Revolving Credit Commitments from and after the date hereof; provided that in no event shall this definition limit amounts owing under Secured Hedge Agreements.
Maximum Obligations Amount means (a) in respect of the Term Facility Credit Agreement, the sum of (i) the aggregate principal amount of Term Facility Obligations up to, but not in excess of, $1,573,000,000 plus (ii) any interest, fees, attorneys fees, costs, expenses, and indemnities payable on account of such principal amount under the Term Facility Credit Agreement in respect thereof, plus (iii) all amounts owing under Secured Hedge Agreements and Secured Credit Card Programs (in each case, as defined in the Term Facility Credit Agreement), minus the aggregate amount of all payments and prepayments of principal of Advances (as defined in the Term Facility Credit Agreement) made from and after the date hereof; and (b) in respect of the Revolving Facility Credit Agreement, the sum of (i) the aggregate principal amount (including the undrawn amount of all letters of credit and all other credit accommodations) of Revolving Facility Obligations up to, but not in excess of, $715,000,000 plus (ii) any interest, fees, attorneys fees, costs, expenses, and indemnities payable on account of such principal amount under the Revolving Facility Credit Agreement in respect thereof, plus (iii) all amounts owing under Secured Hedge Agreements and Secured Credit Card Programs (in each case, as defined in the Revolving Facility Credit Agreement), minus the aggregate amount of all permanent reductions of the Revolving Facility Commitments from and after the date hereof; provided that in no event shall this definition limit amounts owing under Secured Hedge Agreements and Secured Credit Card Programs.

  • Each Lender Borrower hereby agree that if at any time the Obligations exceed the Maximum Obligations Amount as determined as of such time with regard to such Borrower, then the Loan Documents shall be automatically amended to reduce the Obligations to such Maximum Obligations Amount.

  • Maximum Undrawn Amount means with respect to any outstanding Letter of Credit, the amount of such Letter of Credit that is or may become available to be drawn, including all automatic increases provided for in such Letter of Credit, whether or not any such automatic increase has become effective.

  • Aggregate Outstanding Amount With respect to any of the Notes as of any date, the aggregate unpaid principal amount of such Notes Outstanding on such date.

The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Maximum Facility Amount means the aggregate Commitments as then in effect, which amount shall not exceed $200,000,000; provided that at all times after the Reinvestment Period, the Maximum Facility Amount shall mean the aggregate Advances Outstanding at such time.

  • M&O Amount means the revenue protection payment required as part of this Agreement as set out in TEXAS EDUCATION CODE Section 48.256(d) and shall have the meaning assigned to such term in Section 4.2 of this Agreement.

  • Maximum Incremental Facilities Amount means, at any date of determination, (a) the sum of (i) $500,000,000, plus (ii) an amount such that the Borrower is in Pro Forma Compliance with the Senior Secured Leverage Test (for the avoidance of doubt without netting any cash from the proceeds of any Indebtedness being incurred in reliance on such test and, if applicable, assuming the full amount of any New Revolving Credit Commitments are drawn), plus (iii) amounts used to incur Indebtedness the Net Cash Proceeds of which are substantially concurrently used to refinance or replace Revolving Credit Commitments and/or Term Loans (including any fees, accrued interest or other amounts owing in respect thereof), plus (iv) from and after the 2012 Extension Effective Date, the aggregate principal amount of 2014 Term Loans outstanding as of such date of determination, provided that such additional amounts pursuant to this clause (iv) are only available to the extent such amounts are used to incur Indebtedness the Net Cash Proceeds of which are substantially concurrently used to prepay 2014 Term Loans in accordance with Section 5.1 of this Agreement (such prepaid 2014 Term Loans, “Incremental Facility Prepaid 2014 Term Loans”) plus (v) the Dollar Equivalent principal amount of Term Loans (other than New Term Loans, Incremental Facility Prepaid 2014 Term Loans or Term Loans refinanced or replaced pursuant to clause (iii) above) voluntarily prepaid pursuant to Section 5.1 prior to such date, plus (vi) the amount of all Revolving Credit Commitments that have either been permanently reduced pursuant to Section 4.2 or have otherwise terminated in accordance with the terms of this Agreement after the 2012 Extension Effective Date (without duplication of the amounts incurred pursuant to clause (iii) above) minus (b) the sum of (i) the aggregate principal amount of New Loan Commitments incurred pursuant to Section 2.14(a) prior to such date and (ii) the aggregate principal amount of Permitted Other Indebtedness issued or incurred pursuant to Section 10.1(bb)(i)(a) prior to such date.

  • Balance Amount shall have the meaning set forth in Section 8.1 of this Agreement.

  • Maximum Revolving Amount At any date as of which same is to be determined, the amount by which (x) $3,500,000 exceeds (y) the sum of (i) all then undrawn amounts of letters of credit issued by the Bank for the account of the Borrower plus (ii) all amounts then drawn on any such letter of credit which at said date shall not have been reimbursed to the Bank by the Borrower.

  • Maximum Revolver Amount means $100,000,000, decreased by the amount of reductions in the Revolver Commitments made in accordance with Section 2.4(c) of the Agreement.

  • Maximum Commitment Amount means Five Million Dollars ($5,000,000.00).
