Member Option Period definition

Member Option Period has the meaning given such term in Section 9.2(b).
Member Option Period. As defined in Section 15.2.
Member Option Period shall have the meaning set forth inSection 9.3(f) hereto. Membership Units shall mean, with respect to the Company, the Class A Membership Units and the Class B Membership Units and any other class of membership unit authorized by the Management Member from time to time.

  • The option to purchase or redeem provided in this Section 9.2 shall be exercised by the Company and/or the Non-transferring Members, as the case may be, by written notice to the Person who owns or controls the Option Units delivered on or before the end of the Company Option Period or Member Option Period, as applicable.

  • If the RTI Member desires to exercise the RTI Member Option, it shall deliver to the Company a notice (the “RTI Member Option Notice”) of such intention at any time during the RTI Member Option Period.

  • In the event that the other Members do not elect to purchase all the subject Ownership Interests at the end of the Member Option Period, then for a period of ten (10) days after the end of the Member Option Period (the "Company Option Period") the Company shall have the right to purchase the remaining Ownership Interest.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.

  • Acquisition Period means the period ending five (5) business days prior to
