Memorandum of Trust means each Memorandum of [A] Trust Indenture and Security Agreement and [A] Trust Indenture Supplement, substantially in the form of Exhibit D to the Indenture covering the Items of Equipment referenced therein, and any amendment or other modification thereto, including any modification or substitution therefor required by any Applicable Law.
