Mezzanine A Borrower definition

Mezzanine A Borrower shall have the meaning ascribed to the term “Borrower” in the Mezzanine A Loan Agreement.

Mezzanine A Borrower means individually and/or collectively, as the context may require, each of the Persons listed on Schedule I hereto, together with their respective successors and permitted assigns.

Mezzanine A Borrower shall have the meaning set forth in the recitals to this Agreement.

• Lender may take such action as Lender deems reasonably necessary or desirable to carry out the intents and purposes of this Section (including communicating with Mezzanine A Lender with respect to any Mezzanine A Loan defaults), without consent from Borrower or Mezzanine A Borrower, but with prior reasonable notice.

• Lender shall have no obligation to Pledgor, Mezzanine A Borrower or any other party to make any such payment or performance.

• Borrower shall or shall cause Mezzanine A Borrower to from time to time, use reasonable efforts to obtain from Mezzanine A Lender such estoppel certificates with respect to the status of the Mezzanine A Loan and compliance by Mezzanine A Borrower with the terms of the Mezzanine A Loan Documents as may reasonably be requested by Lender.

• Pledgor will furnish, or cause Mezzanine A Borrower to furnish, to Lender a copy of the financial statements and all other materials Mezzanine A Borrower is required to provide Mezzanine A Lender under Section 5.1.10 of the Mezzanine A Loan Agreement within the time periods required under such Section.

• Borrower shall indemnify, defend, and hold harmless Lender from and against all Losses which may be imposed on, incurred by, or asserted against Lender based in whole or in part upon any fact, event, condition, or circumstances relating to the Mezzanine A Loan which was misrepresented in such estoppel certificate executed by Borrower or Mezzanine A Borrower.
