Microsoft Materials definition

Microsoft Materials means technology (including Products); Services; Microsoft Services Materials; security, technical, sales, and marketing information and resources; training courses and materials; and other benefits, tools, systems or resources Microsoft offers to Company under the MPN.
Microsoft Materials means the Technical Documentation, Firmware and Necessary Claims.
Microsoft Materials means any tangible or intangible materials provided by or on behalf of Microsoft, or any of its Affiliates, to Supplier to perform Services, or obtained or collected by Supplier in connection with the Services (including hardware, software, source code, documentation, methodologies, know how, processes, techniques, ideas, concepts, technologies, reports, and data). Microsoft Materials include modifications to, or derivative works of, the foregoing materials, Personal Data, Trademarks, and any data entered into any Supplier database as part of Services. Microsoft Materials do not include Microsoft products obtained by Supplier outside of and unrelated to this Agreement.

Examples of Microsoft Materials in a sentence

  • If the parties have entered into a standard Microsoft Non-Disclosure Agreement, the terms of such agreement will apply to and be incorporated in this PO and the existence of and all terms and conditions of this PO and Microsoft Materials will be deemed Microsoft Confidential Information.

  • Company must not remove any copyright, trademark or patent notices in or on Microsoft Materials.

  • Supplier will promptly return any Microsoft Materials on request or termination of Supplier’s license.

  • If the applicable SOW terminates or expires, or if Microsoft requests in writing, Supplier will provide: (1) backup media to Microsoft (as reasonably requested by Microsoft) containing all Microsoft Materials (unless the Cloud Services provide this as a self-service function to Microsoft); and (2) all assistance Microsoft reasonably requires (at Microsoft’s expense) to timely and smoothly transition from the Cloud Services.

  • If the parties have entered into a standard Microsoft NonDisclosure Agreement, the terms of such agreement will apply to and be incorporated in these PO Terms and the existence of and all terms and conditions of these PO Terms and Microsoft Materials will be deemed Microsoft Confidential Information.

  • The critique may also review the equipment, facilities, student rosters for Microsoft Courses taught, Microsoft Materials provided to students, and Microsoft Materials inventory.

  • Company enters this Agreement and acquires the related Services and Microsoft Materials for business purposes only.

  • Microsoft retains ownership of all right title and interest in the Microsoft Materials.

  • The parties agree that Company’s threatened or actual unauthorized use of the Xbox 360 Logos or Microsoft Materials, whether in whole or in part, will result in immediate and irreparable damage to Microsoft for which there is no adequate remedy at law, and in such event Microsoft will be entitled to appropriate injunctive relief, without the necessity of posting bond or other security.

More Definitions of Microsoft Materials

Microsoft Materials means all products, services, technologies, data, information, content, images, text, sounds, and IPR provided by Microsoft to Company under this Agreement or any Schedule. Microsoft Materials do not include any Company IPR.
Microsoft Materials means any Microsoft technology (including software), services, information, materials and other benefits provided to you through MSPP.
Microsoft Materials shall have the meaning designated in the applicable Work Plan.
Microsoft Materials means the software and all other materials, including the Microsoft API, the Core Platform APIs, and all documentation, tools, data and test or verification materials, that are provided by Microsoft or its Affiliates to Yahoo! or its Affiliates or joint ventures in connection with this Agreement or the performance hereof, excluding the Web Crawl Cache.
Microsoft Materials means any equipment or other tangible materials, software (except for any Source Code as defined and/or listed in License Forms executed by Company and Microsoft, if any; “License Form” is defined in the Master Source Code Agreement, if any, between the parties), documentation, methodologies, know how, processes, techniques, ideas, concepts, technologies, data and/or any other information that are provided by Microsoft to Company in connection with any Schedule. If Microsoft provides Company any Microsoft Materials in connection with any Schedule, then Microsoft hereby grants Company a non-exclusive, personal, non-transferable, non-assignable license to, during the term of such Schedule and subject to any additional terms and conditions in any license or other agreement provided by Microsoft with such Microsoft Materials, internally use, modify and create derivative works of such Microsoft Materials for the sole purpose of, and solely to the extent strictly necessary for, performing the Work under such Schedule. Any modifications, enhancements, and/or derivative works Company makes of Microsoft Materials will constitute Work assigned to Microsoft under Section 3 of this Agreement. Microsoft retains all right, title and interest in the Microsoft Materials. The Microsoft Materials constitute Microsoft Confidential Information subject to Section 4.1 of this Agreement. Company assumes the risk of loss, damage, unauthorized access and/or use, theft and/or disappearance of Microsoft Materials in Company’s care, custody or control. Company will not remove, alter or obscure any markings identifying Microsoft Materials as Microsoft property or proprietary or confidential to Microsoft. Company acknowledges that Microsoft Materials consisting of Microsoft software are subject to U.S. export jurisdiction and may be of U.S. origin. Company agrees to comply with all applicable international and national laws that apply to the Microsoft Materials, including without limitation the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by U.S. and other governments.
Microsoft Materials means any equipment or other tangible materials, software, source code, documentation, methodologies, know how, processes, techniques, ideas, concepts, technologies, data and/or any other information that is provided by Microsoft to Vendor in connection with any SOW. Microsoft Materials does not include any Source Code as defined and/or listed in License Forms, if any, between the parties; “License Form” is defined in the Master Source Code Agreement, if any, between the parties, and describes Vendor’s right to use any Source Code.

Related to Microsoft Materials

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Client Materials means all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services;

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • SAP Materials means any materials (including statistical reports) provided, developed or made available by SAP (independently or with Customer’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Professional Services to Customer. SAP Materials do not include the Customer Data, Customer Confidential Information or the Cloud Service. SAP Materials may also be referred to in the Agreement as “Cloud Materials”.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Direct materials means those materials that enter directly into the end product, or that are used or consumed directly in connection with the furnishing of the end product or service.
