Minimum Hedge definition

Minimum Hedge has the meaning assigned to such term in Section 6.01(q).
Minimum Hedge shall have the meaning provided in Section 2.14(i).

Examples of Minimum Hedge in a sentence

  • As of the last day of each fiscal quarter (each such date, a “Specified Swap Test Date”), the Borrower and the Guarantors shall determine whether there are Hedge Contracts with an Approved Counterparty covering at least the Minimum Required Hedge Volume of the reasonably anticipated projected production from Proved Developed Producing Reserves of the Borrower and the applicable Subsidiaries based on the most recently delivered Reserve Report (the “Ongoing Minimum Hedge Requirement”).

  • If the Borrower determines that the Ongoing Minimum Hedge Requirement has not been satisfied as of such Specified Swap Test Date, then the Borrower, the Guarantors shall within five (5) Business Days of the end of such fiscal quarter enter into Hedge Contracts with an Approved Counterparty such that the Ongoing Minimum Hedge Requirement shall be satisfied.

  • Each Minimum Hedge shall be for a period of at least thirty-six (36) months.

  • Hedging Program On or before the Plan Effective Date, the Debtors will enter into new hedging arrangements sufficient to cover the Closing Date Minimum Hedge Volumes (as defined in the Exit Facility Term Sheet).

  • The Borrower has informed the Administrative Agent that as of latest Specified Swap Test Date, the Borrower and the Guarantors have failed to meet the Ongoing Minimum Hedge Requirement.

  • Section 5.15 provides that the Borrower and the Guarantors will enter into Hedge Contracts with an Approved Counterparty such that, on each Specified Swap Test Date, there are Hedge Contracts with an Approved Counterparty satisfying the Ongoing Minimum Hedge Requirement.

  • In determining the amount payable under the terminated Hedge Agreement, the Issuer shall seek quotations from reference market-makers that satisfy the Minimum Hedge Counterparty Ratings.

  • For the avoidance of doubt, if a Hedge Counterparty (or any Affiliate of such Hedge Counterparty which unconditionally and absolutely guarantees the obligations of such Hedge Counterparty under the related Hedge Agreement) fails to satisfy the Minimum Hedge Counterparty Ratings and fails to satisfy the Ratings Maintenance Requirement, the Issuer shall take the actions required under clause (c) and /or (d) above.

  • For the avoidance of doubt, regardless of whether the Minimum Hedge Condition has been satisfied, the Borrower shall deliver the Independent Engineering Report dated effective as of January 1, 2021 as required in the first sentence of this clause (i).

Minimum Hedge has the meaning assigned to such term in Section 6.01(q).Midstream Adjusted EBITDA” means the portion of Adjusted EBITDA attributable to the Midstream Properties of the Borrower and its Consolidated Subsidiaries for the most recently ended Rolling Period as reflected in the business segment financial reports prepared by the Borrower and delivered to the Administrative Agent pursuant to the terms of Sections 8.01(a) and 8.01(b); provided that, (i) Midstream Adjusted EBITDA for the Rolling Period ending December 31, 2015, shall equal Midstream Adjusted EBITDA for the fiscal quarter ending December 31, 2015 multiplied by four (4), (ii) Midstream Adjusted EBITDA for the Rolling Period ending March 31, 2016, shall equal Midstream Adjusted EBITDA for the two fiscal quarter periods ending March 31, 2016 multiplied by two (2) and (iii) Midstream Adjusted EBITDA for the Rolling Period ending June 30, 2016, shall equal Adjusted EBITDA for the three fiscal quarter periods ending June 30, 2016 multiplied by four-thirds (4/3). Related to Minimum Hedge

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Minimum capital or "minimum required capital" means the capital that must be constantly maintained by a stock insurance corporation as required by statute.

  • Minimum Liquidity means, as of any date of determination, the sum of (a) the aggregate unused amount of the Commitments as of such date and (b) unrestricted cash of the Loan Parties as of such date.

  • Minimum Level (ML means the concentration at which the entire analytical system must give a recognizable signal and an acceptable calibration point. The ML is the concentration in a sample that is equivalent to the concentration of the lowest calibration standard analyzed by a specific analytical procedure, assuming that all the method-specified sample weights, volumes and processing steps have been followed.

  • Minimum Takedown Threshold shall have the meaning given in Section 2.1.4.

  • Minimum Holding means the minimum number or value of Shares which must be held by Shareholders as specified in the relevant Supplement.

  • Minimum DSCR means, with respect to a Supplemental Loan, (i) if the Senior Indebtedness bears interest at a fixed rate, 1.25:1, or (ii) if the Senior Indebtedness bears interest at a floating rate, 1.10:1.

  • Forward Hedge Price means, for any Forward Contract, the product of (x) an amount equal to one (1) minus the Forward Hedge Selling Commission Rate for such Forward Contract; and (y) the Volume-Weighted Hedge Price.

  • Minimum Commitment means any minimum commitment of time and usage for use of the Services by You during the Term of this Agreement.

  • Required Ratings Threshold means each of the S&P Required Ratings Threshold and the Moody's Second Trigger Ratings Threshold.

  • Forward Hedge Amount means, for any Forward, the amount specified as such in the Placement Notice for such Forward (as amended by the corresponding Acceptance, if applicable), which amount shall be the target Aggregate Sales Price of the Forward Hedge Securities to be sold by the Forward Seller or an Alternative Forward Seller in respect of such Forward, subject to the terms and conditions of this Agreement or the Alternative Distribution Agreement, as applicable.

  • Hedge Counterparty Ratings Requirement means (a) either (i) the unsecured, short-term debt obligations of the substitute counterparty (or its Credit Support Provider) are rated at least “A-1” by S&P or (ii) if the substitute counterparty does not have a short-term rating from S&P, the unsecured, long-term senior debt obligations of the substitute counterparty (or its Credit Support Provider) are rated at least “A+” by S&P, (b) either (i) the unsecured, long-term senior debt obligations of such substitute counterparty (or its Credit Support Provider) are rated at least “A1” by Moody’s (and if rated “A1” by Moody’s, such rating is not on watch for possible downgrade to below “A1”) and the unsecured, short-term debt obligations of such substitute counterparty (or its Credit Support Provider) are rated at least “P-1” by Moody’s (and if rated “P-1” by Moody’s, such rating is not on watch for possible downgrade and remaining on watch for possible downgrade), or (ii) if such substitute counterparty (or its Credit Support Provider) does not have a short-term debt rating from Moody’s, the unsecured, long-term senior debt obligations of such substitute counterparty (or its Credit Support Provider) are rated at least “Aa3” by Moody’s (and if rated “Aa3” by Moody’s, such rating is not on watch for possible downgrade to below “Aa3”), and (c) either (i) the unsecured, long-term senior debt obligations of such substitute counterparty (or its Credit Support Provider) are rated at least “A” by Fitch or (ii) the unsecured, short-term debt obligations of such substitute counterparty (or its Credit Support Provider) are rated at least “F1” by Fitch. For the purpose of this definition, no direct or indirect recourse against one or more shareholders of the substitute counterparty (or against any Person in control of, or controlled by, or under common control with, any such shareholder) shall be deemed to constitute a guarantee, security or support of the obligations of the substitute counterparty.

  • Minimum Order Quantity means the minimum number of batches of a Product to be produced during the same cycle of manufacturing as set forth in a Product Agreement on Schedule B;

  • Rate Hedging Agreement means an agreement, device or arrangement providing for payments which are related to fluctuations of interest rates, exchange rates or forward rates, including, but not limited to, dollar-denominated or cross-currency interest rate exchange agreements, forward currency exchange agreements, interest rate cap or collar protection agreements, forward rate currency or interest rate options, puts and warrants.
