Minimum Transferor Amount definition

Minimum Transferor Amount means (a) prior to the Certificate Trust Termination Date, the “Minimum Transferor Amount” under (and as defined in) the Pooling and Servicing Agreement and (b) on and after the Certificate Trust Termination Date, the “Minimum Transferor Amount” as defined in Annex A to the Indenture.

Examples of Minimum Transferor Amount in a sentence

• The Additional Minimum Transferor Amount is hereby specified as an additional amount to be considered part of the Minimum Transferor Amount pursuant to clause (b) of the definition of Minimum Transferor Amount.

• In the event that, following any such exclusion, the Transferor Amount would be less than the Minimum Transferor Amount, within two Business Days of the date on which such adjustment obligation arises, the Transferor shall pay to the Servicer for deposit into the Excess Funding Account, in immediately available funds, an amount equal to the amount by which the Transferor Amount would be reduced below the Minimum Transferor Amount.

More Definitions of Minimum Transferor Amount

Minimum Transferor Amount means, on any date of determination, the product of the Aggregate Principal Receivables on such date and the Minimum Transferor Interest Percentage on such date.

Minimum Transferor Amount means the product of the Aggregate Adjusted Investor Amount and the Minimum Transferor Interest Percentage.

Minimum Transferor Amount means the product of (i) the Minimum Transferor Percentage and (ii) the sum of the Trust Principal Component as of the end of the preceding Collection Period plus the Excess Funding Amount as of the end of such Collection Period; PROVIDED, HOWEVER, that the Transferor may reduce the Minimum Transferor Amount upon (w) delivery to the Trustee of a Tax Opinion with respect to such reduction, (x) 30 days' prior notice to the Trustee, each Rating Agency and any Enhancement Provider entitled to receive such notice pursuant to the relevant Supplement, (y) written confirmation from the Rating Agency that such reduction will not result in the reduction or withdrawal of the respective ratings of each Rating Agency for any Series outstanding and (z) delivery to the Trustee and each such Enhancement Provider of an Officer's Certificate stating that the Transferor reasonably believes that such reduction will not, based on the facts known to such officer at the time of such certification, then or thereafter cause an Early Amortization Event to occur with respect to any Series.
