Monsanto Director definition

Monsanto Director any individual who is a member of the Board of Directors of Monsanto following the Distribution Date.
Monsanto Director means a Director or Calgene Director, including any Monsanto Management Director, who is designated for such position by Monsanto in accordance with Section 4.1 hereof. "Monsanto Management Director" means a Director or Calgene Director who is designated for such position by Monsanto in accordance with Section 4.1 hereof and who is or was an employee of Monsanto.   • In the event that Monsanto desires to remove any Monsanto Director with or without cause and Monsanto is unable to procure the resignation of such Monsanto Director, then, upon the request of Monsanto, the Board of Directors shall promptly call a special meeting of stockholders of the Corporation for purposes of removing such Monsanto Director.
