Mortgage Debt Documents definition

Mortgage Debt Documents means those certain promissory notes executed by PacSun Stores and Miraloma or about October 1, 2010 in favor of American National Insurance Company in the aggregate principal amount of $29,800,000, and those certain deeds of trust and/or mortgages, security agreements, financing statements and fixture filings entered into by PacSun Stores on the Kansas Distribution Facility and Miraloma on the Corporate Headquarters in connection therewith, in each case as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.
Mortgage Debt Documents means those certain promissory notes executed by Pacific Sunwear Stores Corp. and the Excluded Subsidiary on or about October 1, 2010 in favor of American National Insurance Company in the aggregate principal amount of $29,800,000, and those certain deeds of trust and/or mortgages, security agreements, financing statements, and fixture filings entered into by Pacific Sunwear Stores Corp on the Kansas Distribution Facility and the Excluded Subsidiary on the Corporate Headquarters in connection therewith, in each case as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.
Mortgage Debt Documents means those certain promissory notes executed by Pacific Sunwear Stores Corp. and Miraloma Borrower Corporation on or about October 1, 2010 in favor of American National Insurance Company in the aggregate principal amount of $29,800,000, and those certain deeds of trust and/or mortgages, security agreements, financing statements, and fixture filings entered into by Pacific Sunwear Stores Corp on the Kansas Distribution Facility and Miraloma Borrower Corporation on the Corporate Headquarters in connection therewith, in each case as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

Examples of Mortgage Debt Documents in a sentence

  • If at any time the Mortgage Debt Documents and the Unsecured Guarantor’s Organization Documents cease to prohibit the creation of a Lien on the property of the Unsecured Guarantor to secure the obligations under the Credit Agreement, the Unsecured Guarantor shall be required to become party to the Security Agreement and Facility Guaranty as a grantor and guarantor thereunder by executing a joinder thereto in form and substance satisfactory to the Agent.

Related to Mortgage Debt Documents

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • Subordinated Debt Documents means any documents evidencing and/or securing Debt governed by a Subordination Agreement, all of which documents must be in form and substance acceptable to Agent in its sole discretion. As of the Closing Date, there are no Subordinated Debt Documents.

  • Secured Debt Documents means the Parity Lien Documents and the Priority Lien Documents.

  • Mortgage Debt means (i) debt secured only by real property at the time of the MSPLF Loan’s origination;2 and (ii) limited recourse equipment financings (including equipment capital or finance leasing and purchase money equipment loans) secured only by the acquired equipment.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Second Priority Debt Documents means the Initial Second Priority Debt Documents and, with respect to any series, issue or class of Second Priority Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Second Priority Collateral Documents.

  • Senior Debt Documents means (a) the Credit Agreement Loan Documents and (b) any Additional Senior Debt Documents.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Junior Debt Documents means any agreement, indenture or instrument pursuant to which any Junior Debt is issued, in each case as amended to the extent permitted under the Loan Documents.

  • Second Lien Security Documents means the “Security Documents”, as defined in the Second Lien Credit Agreement, and any other agreement, document or instrument pursuant to which a Lien is granted to secure any Second Lien Obligations or under which rights or remedies with respect to any such Lien are governed.

  • Subordinated Indebtedness Documents means any document, agreement or instrument evidencing any Subordinated Indebtedness or entered into in connection with any Subordinated Indebtedness.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement, in each case as amended, supplemented, or modified from time to time prior to the Petition Date.

  • Subordinate Loan Documents means the Subordinate Note, the Subordinate Mortgage, and all other documents at any time evidencing, securing, guaranteeing, or otherwise delivered in connection with the Subordinate Indebtedness.
