MTM Representation means:
MTM Representation. Means each of the representations and warranties, set forth as (a) items 1 (first sentence only), 19, 20, 23 (solely with respect to circumstances occurring after the related Purchase Date), 24 (solely with respect to circumstances occurring after the related Purchase Date), 35, 36, 38(c), 38(f), 43, 53, and any written notice of default under 57(iv) that does not give the ground lessor the right to terminate the related Ground Lease, each as set forth on Schedule 1(a) hereto, (b) items 1 (first sentence only), 12 (solely with respect to circumstances occurring after the related Purchase Date), 22, 23, 27 (solely with respect to circumstances occurring after the related Purchase Date), 38, 39, 42(c), 42(f), 47, 57, and any written notice of default under 61(iv) that does not give the ground lessor the right to terminate the related Ground Lease, each as set forth on Schedule 1(b) hereto and (c) items 1 (first sentence only), 13 (solely with respect to circumstances occurring after the related Purchase Date), 16 (solely with respect to circumstances occurring after the related Purchase Date), 29, 30, 36, 37, 38(c), 38(f), 40, any written notice of default under 43(iv) that does not give the ground lessor the right to terminate the related Ground Lease, 44 (solely with respect to circumstances occurring after the related Purchase Date), 45 (solely with respect to circumstances occurring after the related Purchase Date), and 46, each as set forth on Schedule 1(c) hereto.
MTM Representation means with respect to each jurisdiction, as applicable, the representations and warranties designated as “MTM Representations” set forth on Exhibit V hereto.
Examples of MTM Representation in a sentence
Each of the representations and warranties made in respect of the Purchased Assets pursuant to Exhibit V are true, complete and correct in all material respects (in each case other than any MTM Representation and as disclosed in a Requested Exceptions Report approved by Purchaser in accordance with the terms hereof).
Seller shall promptly (and in any event not later than two (2) Business Days after obtaining actual knowledge thereof) notify Purchaser of: (A) any default or event of default under any Purchased Asset; (B) any facts or circumstances that are reasonably likely to cause, or have caused, a Mandatory Early Repurchase Event; 49 (C) any Future Advance Failure; or (D) any representation or warranty being untrue or incorrect (including any MTM Representation).
More Definitions of MTM Representation
MTM Representation means the representations and warranties set forth as items (B)(11) (with respect to the last sentence of the second paragraph only), (B)(12), (B)(15), (B)(26), (B)(35)(f), (B)(36), (B)(37), (B)(39), (B)(42) (with respect to the last sentence only), (E)(7) and (E)(9) on Exhibit V of this Agreement, including if any of the foregoing representations and warranties are incorporated by reference and made pursuant to Sections C, D or E of Exhibit V of this Agreement.
MTM Representation means the representations and warranties set forth as items 13, 23, 25 and 32 through 43 on Exhibit V of this Agreement.
MTM Representation. The meaning set forth in the Fee Letter, which definition is incorporated by reference herein.
MTM Representation means each of the representations and warranties set forth as items (11), (12), (15), (21), (26), (28), (35)(f) (provided that the representations in item 35(f) shall only be MTM Representations to the extent that any breach of same is cured within ten (10) Business Days after the occurrence of such breach and such breach does not otherwise constitute a Purchased Loan Event of Default), (36) and (41) (with respect to the last sentence only) in Part I of Exhibit VI attached hereto.
MTM Representation means each of the representations and warranties, set forth (1) as items 11, 12, 14 and 46 on Part I of Exhibit VI attached hereto and (2) items 8 and 11 on Part II of Exhibit VI attached hereto.
MTM Representation means the representations and warranties set forth as items (B)(11) (with respect to the last sentence of the second paragraph only), (B)(12), (B)(15), (B)(26), (B)(36), (B)(37), (B)(38), (B)(41) (with respect to the last sentence only), (D)(7) and (D)(9) on Exhibit V of this Agreement, including if any of the foregoing representations and warranties are incorporated by reference and made pursuant to Sections C or D of Exhibit V of this Agreement.
MTM Representation means the representations and warranties set forth on Exhibit V hereto as items 1.2, 1.10, 1.11, 1.13(b)-(e), 1.15, 1.16, 1.18(e), 1.18(i), 1.19, 1.20, 1.31, 1.32(c), 1.40, 1.43, 1.44(b) and 1.48.
