On each date on which the Company is required to deliver a Representation Date Certificate pursuant to Section 8(m), the Company shall have furnished to the Agents such appropriate further information, certificates and documents as the Agents may reasonably request.
Notwithstanding any other provision hereof, the requirement to provide opinions under this Section 8(n) shall be waived for any Representation Date occurring at a time at which no Placement Notice is pending, which waiver shall continue until the earlier to occur of the date the Company delivers a Placement Notice hereunder (which for such calendar quarter shall be considered a Representation Date) and the next occurring Representation Date.

The Agents shall have received the Representation Date Certificate required to be delivered pursuant to Section 8(m) on or before the date on which delivery of such Representation Date Certificate is required pursuant to Section 8(m).
