Named Directors and Officers definition

Named Directors and Officers means Andrew Agnew, William E. Ardell, James Bowland, Leslie Chan, Michael Cheng, Lawrence Hon, James M.E. Hyde, Richard M. Kimel, R. John (Jack) Lawrence, Jay A. Lefton, Edmund Mak, Tom Maradin, Judson Martin, Simon Murray, James F. O’Donnell, William P. Rosenfeld, Peter Donghong Wang, Garry West and Kee Y. Wong, in their respective capacities as Directors or Officers, and “Named Director or Officer” means any one of them.
Named Directors and Officers means the current directors and officers of Jaguar and such other directors and officers as agreed to by the Majority Consenting Noteholders prior to the Meeting;
Named Directors and Officers means those persons from time to time holding the offices in the Borrower listed in Schedule 1.1.105 hereto;

  • The Company shall pay to the Underwriter a financial advisory fee of $72,000; provided, however, that if the number of Directed Shares purchased by the Named Directors and Officers is less than 150,000 shares, the financial advisory fee will be equal to an amount determined by multiplying $72,000 by a fraction the numerator of which is the total number of Directed Shares purchased by Named Directors and Officers and the denominator of which is 150,000.

  • Register of Directors and Officers means the Register of Directors and Officers referred to in these Bye-laws;

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Directors means the directors for the time being of the Company.

  • Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager or any Person directly or indirectly controlling or controlled by the Manager, and who are otherwise “independent” in accordance with the NYSE’s corporate governance listing standards (or the rules of any other national securities exchange on which the Common Stock is listed).

  • Disinterested Directors means, with respect to any Affiliate Transaction, one or more members of the Board of Directors of the Company, or one or more members of the Board of Directors of a Parent, having no material direct or indirect financial interest in or with respect to such Affiliate Transaction. A member of any such Board of Directors shall not be deemed to have such a financial interest by reason of such member’s holding Capital Stock of the Company or any Parent or any options, warrants or other rights in respect of such Capital Stock.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Disinterested Director means a director of the Company who is not and was not a party to the Proceeding in respect of which indemnification is sought by Indemnitee.

  • Preferred Directors means the Series A Directors and the Series B Directors.

  • Named Executive Officers or “NEOs” means the following individuals:

  • Independent Fund Director means an independent director of an investment company advised by Invesco.

  • Continuity Directors means those members of the Board who either (A) were directors at the beginning of such consecutive 24 month period, or (B) were elected by, or on the nomination or recommendation of, at least a two-thirds (2/3) majority of the then-existing Board; or

  • Elected Director means a person elected as an elected director in accordance with these bylaws or elected or appointed as a replacement director for an elected director;

  • Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.

  • The Board of Directors or "Board" means all those persons appointed to perform the duties of directors of the society;

  • Sponsor Director means an individual elected to the Board that has been nominated by the Sponsor pursuant to this Agreement.

  • Investor Director means a member of the Board who was elected to the Board as an Investor Director Designee.

  • Executive Officers means the Company's “executive officers” as defined in 12 C.F.R. § 215.2(e)(1) (regardless of whether or not such regulation is applicable to the Company).

  • Qualified Director means a person who, at the time action is to be taken under:

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • Company Board of Directors means the board of directors of the Company.

  • Senior Executive Officers means the Company's "senior executive officers" as defined in subsection 111(b)(3) of the EESA and regulations issued thereunder, including the rules set forth in 31 C.F.R. Part 30.

  • Appointed Director means a person appointed in accordance with these bylaws as an appointed director or appointed as a replacement director for an appointed director;
