Net Exercised definition

Net Exercised means the exercise of an Option or any portion thereof by the delivery of the greatest number of whole shares of Common Stock having a Fair Market Value on the date of exercise not in excess of the difference between the aggregate Fair Market Value of the shares of Common Stock subject to the Option (or the portion of such Option then being exercised) and the aggregate exercise price for all such shares of Common Stock under the Option (or the portion thereof then being exercised), with any fractional share that would result from such equation to be payable in cash.
Net Exercised means a Replacement Option may, in lieu of exercise, be surrendered to the Purchaser at the election of the Company Optionholder, in consideration for the Purchaser delivering to the Company Optionholder a number of Subordinate, Restricted or Limited Voting Shares, as applicable, having an aggregate Fair Market Value (as determined on the date of exercise) equal to the excess, if positive, of the Fair Market Value of the Subordinate, Restricted and Limited Voting Shares underlying the Replacement Option being exercised on the date of exercise, over the exercise price of the Replacement Option for such Subordinate, Restricted or Limited Voting Shares. For these purposes “Fair Market Value” of a Subordinate, Restricted or Limited Voting Share on any date shall mean the closing price of the Subordinate, Restricted and Limited Voting Shares on the CSE for the trading day immediately preceding the exercise date. Notwithstanding the foregoing, the Purchaser may require a Company Optionholder, as a condition to the surrender of a Replacement Option, to pay or reimburse the Purchaser for any federal, provincial, state or local law relating to the withholding of tax or other required deductions (“Applicable Withholding Taxes”) or to direct the Purchaser to withhold the number of shares that would be required to be sold to pay the Applicable Withholding Taxes.

  • Option Exercise Notice has the meaning set forth in Section 2.4(c).

  • Date of Exercise means the date on which the Company shall have received (i) this Warrant (or any New Warrant, as applicable), with the Form of Election to Purchase attached hereto (or attached to such New Warrant) appropriately completed and duly signed, and (ii) payment of the Exercise Price for the number of Warrant Shares so indicated by the holder hereof to be purchased.

  • Cashless Exercise Ratio means a fraction, the numerator of which is the excess of the Current Market Value per share of Common Stock on the Exercise Date over the Exercise Price per share as of the Exercise Date and the denominator of which is the Current Market Value per share of the Common Stock on the Exercise Date.

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • Sponsor Exercise Fair Market Value means the average last reported sale price of the Ordinary Shares for the ten (10) trading days ending on the third (3rd) trading day prior to the date on which notice of exercise of the Private Placement Warrant is sent to the Warrant Agent;

  • Exercise Amount has the meaning set forth in Section 2(a).

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.
