Net Worth Statement definition

Net Worth Statement means a certification executed by Borrower Principal and addressed to Lender certifying that Borrower Principal’s net worth equals or exceeds $100,000,000 (or, if any lesser amount, setting forth such lesser amount).
Net Worth Statement means a calculation of the pro forma net worth of the Seller Subsidiaries, taking into account the Subsidiary Liabilities but not the Subsidiary Indemnified Liabilities, in the form of the December 31 Net Worth Statement and prepared in accordance with the Methodologies.
Net Worth Statement has the meaning set forth in Section 1.3(a).

More Definitions of Net Worth Statement

Net Worth Statement shall have the meaning specified in Section 5.3.
Net Worth Statement means a statement certified by the Borrower reflecting in reasonable detail (i) the assets and liabilities (actual and contingent) of the Borrower, the Guarantors and Persons effectively controlled by the Borrower as a date not more than 30 days prior to its delivery to the Lender as herein provided; (ii) as a separate amount the aggregate amount of Debt of the Obligors as at such date; and (iii) such other information as the Lender may reasonably require;
Net Worth Statement means a statement that (a) is prepared in the same format as the Reference Net Worth Statement, (b) sets forth a calculation of Adjusted Statutory Net Worth as of a certain date and (c) sets forth a calculation of the Purchase Price as of a certain date, in each case, in accordance with the Net Worth Statement Methodologies.
Net Worth Statement has the meaning ascribed to it in Section 1.04(c).
Net Worth Statement as of any date, shall mean a statement, prepared in accordance with the principles set forth in Schedule 1.1(l), setting forth the Aggregate Newco Net Worth as of such date.
Net Worth Statement means each the following statements setting forth the Net Worth of the Company: the Pro Forma Net Worth Statement, the Proposed Estimated Closing Net Worth Statement, the Estimated Closing Net Worth Statement, Closing Net Worth Statement and the Final Closing Net Worth Statement.
