The right of a Seller to a portion of the Additional Consideration, if any, shall not be represented by a certificate or other instrument, shall not represent an ownership interest in Buyer or the New Business Segment and shall not entitle any Seller to any rights as a holder of any equity security of Buyer, the New Business Segment or any of their Affiliates.
In the event that Sellers do not elect to receive Additional Consideration under this Section 2.8(k), the obligations of Buyer under this Section 2.8 shall cease to apply to Buyer and its Affiliates, but shall be binding upon any successors and assigns of Buyer or the New Business Segment.
