New Release Title definition

New Release Title means any Title first Released theatrically anywhere in the world after the Effective Date of this Agreement and published as Licensed Content Product on a LCP Unit or Interim LCP Unit.
New Release Title means any SPHE theatrical, direct-to-video or made-for-television feature-length motion picture on any Qualifying Format that is purchased by Fry’s during the Term within twenty-six (26) weeks following the initial home entertainment release date on any Qualifying Format (“Street Date”) for such title. A “Catalog Title” means any SPHE theatrical, direct-to-video or made-for-television feature-length motion picture on any Qualifying Format that is purchased by Fry’s during the Term more than twenty-six (26) weeks following the Street Date on any Qualifying Format for such title. A “TV Title” means any SPHE serial audiovisual work originally created for television and made available on any Qualifying Format that is purchased by Fry’s during the Term. New Release Titles, Catalog Titles and TV Titles are collectively referred to herein as “Titles.”. Fry’s agrees not to charge back or take any deductions until such credit authorization is provided by SPHE. Any adjustments to a Placement Incentive for a given Quarter will be calculated and deducted or otherwise withheld as an offset by SPHE against (x) the Placement Incentive applicable to the next Quarter or (y) against any amounts payable or otherwise owed by SPHE (or any subsidiary, parent or affiliate thereof) to Fry’s.

  • Restriction Release Date means such date, after the Effective Date, that the Board of Directors determines in good faith that it is in the best interests of the Corporation and its stockholders for the transfer restrictions set forth in this Article 4 to terminate.
