New U.S. Holdco definition

New U.S. Holdco means a company incorporated under the laws of a state of the United States (A)(i) that owns all of the Equity Interests of US Holdco or (ii) all of the Equity Interests in which are owned by US Holdco, with US Holdco contributing or otherwise transferring all of its assets to New US Holdco and (B) has been formed to effect an initial public offering.
New U.S. Holdco means a Subsidiary formed after the Restatement Effective Date under the laws of any State of the United States, the Equity Interests of which are held solely by Foreign Subsidiaries; provided that such newly formed Subsidiary shall not engage in any business or own any assets other than the ownership of Equity Interests in Foreign Subsidiaries and intercompany obligations that are otherwise permitted hereunder.
New U.S. Holdco means a newly formed wholly-owned direct Subsidiary of the Company, incorporated under the laws of the State of Delaware. As of the Amendment No. 7 Effective Date, the Company expects that New US Holdco will be "FLE Management".
