Company Series A Preferred Stock means the Series A Preferred Stock, par value $0.0001 per share, of the Company.
Hybrid Preferred Securities means any preferred securities issued by a Hybrid Preferred Securities Subsidiary, where such preferred securities have the following characteristics:
Company Series B Preferred Stock means the Series B Preferred Stock, par value $0.0001 per share, of the Company.
Designated Preferred Stock means Preferred Stock of the Company or any direct or indirect parent of the Company, as applicable (other than Disqualified Stock), that is issued for cash (other than to the Company or any of its Subsidiaries or an employee stock ownership plan or trust established by the Company or any of its Subsidiaries) and is so designated as Designated Preferred Stock, pursuant to an Officers’ Certificate, on the issuance date thereof.
Company Series C Preferred Stock means the Series C Preferred Stock, par value $0.001 per share, of the Company.
Initial Authorized Denomination With respect to any Class and any Certificate Group, the amount set forth with respect to such Class and such Certificate Group in the Schedule under the heading “Original Principal or Notional Principal Balances” or “Original Principal Balance,” as applicable.
Authorized Denomination means, with respect to a Note, a principal amount thereof equal to $1,000 or any integral multiple of $1,000 in excess thereof.
Preferred Stock as applied to the Capital Stock of any corporation, means Capital Stock of any class or classes (however designated) which is preferred as to the payment of dividends, or as to the distribution of assets upon any voluntary or involuntary liquidation or dissolution of such corporation, over shares of Capital Stock of any other class of such corporation.
Non Book-Entry Preferred Securities shall have the meaning set forth in Section 2.4.
Class A Preferred Stock means the Class A preferred stock, nominal value $0.0001 per share, of the Company.
Series A Preferred Stock means shares of the Company’s Series A Preferred Stock, par value $0.0001 per share.
Series F Preferred Stock means shares of the Company’s Series F Preferred Stock, par value $0.0001 per share.
Preference Stock means any and all series of preference stock, having no par value, of the Corporation.
Series D Notes is defined in Section 1.
Authorized Denominations means $5,000 or any integral multiple thereof.
Series H Preferred Stock means the Corporation's Series H Convertible Preferred Stock, par value $0.004 per share.
Series A Preferred Unit means a Preferred Unit having the designations, preferences, rights, powers and duties set forth in Article XVI.
Book-Entry Preferred Security means a Preferred Security, the ownership and transfers of which shall be made through book entries by a Depositary.
Series A Preferred means the Series A Convertible Preferred Stock of the Company, par value $0.01 per share.
New Preferred Stock means the Convertible Series A Preferred Stock and the Series B Preferred Stock.
Series B Preferred Stock means shares of the Company’s Series B Preferred Stock, par value $0.0001 per share.
Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).
Safe Preferred Stock means the shares of the series of Preferred Stock issued to the Investor in an Equity Financing, having the identical rights, privileges, preferences and restrictions as the shares of Standard Preferred Stock, other than with respect to: (i) the per share liquidation preference and the initial conversion price for purposes of price-based anti-dilution protection, which will equal the Conversion Price; and (ii) the basis for any dividend rights, which will be based on the Conversion Price.
Series G Preferred Stock means the Corporation's Series G Convertible Preferred Stock, par value $0.004 per share.
Series A Issue Price means $39.2253 per Series A Preferred Unit.
Series B Original Issue Price means $1.309997 per share,
