NGCB Temporary Global Covered Bond definition

NGCB Temporary Global Covered Bond means a Temporary Global Covered Bond representing Bearer Covered Bonds for which the relevant Final Terms or Drawdown Prospectus or Securities Note (as the case may be) specify that the New Global Covered Bond form is applicable;
NGCB Temporary Global Covered Bond means a Eurosystem Eligible NGCB Temporary Global Covered Bond or a Non-Eligible NGCB Temporary Global Covered Bond;

  • The Issuer hereby authorises and instructs the Fiscal Agent to elect an ICSD to be Common Safekeeper for each issue of an NGCB Temporary Global Covered Bond or an NGCB Permanent Global Covered Bond, or a Global Registered Covered Bond to be held under the NSS in relation to which one of the ICSDs must be Common Safekeeper.

  • In the case of an NGCB Temporary Global Covered Bond or an NGCB Permanent Global Covered Bond, or a Global Registered Covered Bond to be held under the NSS which has been destroyed by the Common Safekeeper, the Replacement Agent shall furnish the Issuer with a copy of the confirmation of destruction received by it from the Common Safekeeper.

  • If the relevant Final Terms indicates that this Temporary Global Covered Bond is not intended to be a NGCB Temporary Global Covered Bond, the nominal amount of the Covered Bonds represented by this Temporary Global Covered Bond shall be the amount stated in the applicable Final Terms or, if lower, the nominal amount most recently entered by or on behalf of the Issuer in the relevant column in Schedule hereto.

  • If the relevant Final Terms indicates that this Temporary Global Covered Bond is intended to be a NGCB Temporary Global Covered Bond, the nominal amount of Covered Bonds represented by this Temporary Global Covered Bond shall be the aggregate amount from time to time entered in the records of both Euroclear Bank SA/NV ("Euroclear") or Clearstream Banking S.A. ("Clearstream, Luxembourg") (each an "ICSD" and together the "ICSDs").

  • This Agreement shall remain in effect from April 1, 2021 to March 31, 2024 inclusive, and thereafter from year to year, unless either party, sixty (60) days prior to the anniversary date, signifies in writing its desire to change or modify this Agreement.

  • Temporary Regulation S Global Note As defined in Section 2.01(b).

  • Temporary Certificate means a certificate issued pursuant to subdivision (d) of section 7 of this local law.

  • Permanent Regulation S Global Note means a permanent Global Note in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Temporary Regulation S Global Note upon expiration of the Restricted Period.
